Barclays Africa Group Limited Announces Executive Changes

Barclays Africa Group Limited reported that Mr. Francis Okomo-Okello and Mr. Alex Darko have been appointed as independent non-executive directors to the Board of the company with effect from 1 October 2014. Francis is the current chairman of Barclays Bank of Kenya Limited. He serves as chairman of TPS Eastern Africa Limited (Serena Group of Hotels and Lodges), and as a non-executive director of the Nation Media Group. Currently, Francis is the Executive Director in charge of Legal and Corporate Affairs at Industrial Promotion Services Group of Companies, an affiliate of the Aga Khan Fund for Economic Development. Alex is a seasoned executive with over 30 years international management experience. He holds an MSc in management information systems (MIS) and is a fellow of the Chartered Association of Certified Accountants. Alex was Vice President, Knowledge and Information (Chief Information Officer) at AngloGold Ashanti Limited (from 2005 to 2010), responsible for the group’s Information Systems and Telecommunications function. Alex also serves on the boards of Business Connexion Limited, Consolidated Infrastructure Group Limited and Mazor Group Limited. Shareholders are further advised that Brand Pretorius will step down from the Board on 31 October 2014.
Barclays Bank Africa Group Appoints Mizinga Melu as Chief Executive Officer of Africa Regional Management, Effective October 1 2014

Barclays Bank Africa Group has hired Mizinga Melu as Chief Executive Officer of Africa Regional Management. Mizinga will take on the role from October 1 2014. In March 2013, Mizinga joined the ABSA Group as Managing Director of NBC Tanzania where she put up a strong team who are transforming that business. Mizinga, who will report to David Hodnett, Deputy CEO of Barclays of Barclays Africa Group, brings to the role a wealth of experience. The Country Directors of all Barclays Africa s Businesses out of South Africa will report to Mizinga, who will organize integrated planning and ensure development of product led and country specific strategies, in addition to support execution. Furthermore, Melu will look after the development of stakeholder relationship with government, regulators, the Boards and clients in the countries.

Barclays Africa Group Limited Approves the Amendments to the Memorandum of Incorporation

Annual General Meeting of Barclays Africa Group Limited held on May 6, 2014. The company shareholders approved the amendments to the Memorandum of Incorporation. Resolved that the company's Memorandum of Incorporation be and is hereby amended as: by the deletion of the word `cheque' in clause 19.10 of the Memorandum of Incorporation; by the deletion of the entire clause 33.4 and replacing it with a new clause 33.4.
