NeurogesX, Inc.’s common stock will be deleted from OTC Bulletin Board (OTCBB) effective May 21, 2013, on account of its failure to comply with NASD 6530. The company will be added to NBB.

Effective April 19, 2013, NeurogesX, Inc. will change its OTC Bulletin Board stock ticker symbol to NGSXE from NGSX.

On 04/01/2013, NeurogesX, Inc. announced that they will be unable to file their next 10-K by the deadline required by the SEC.

NeurogesX, Inc. announced that on March 7, 2013, the company repaid approximately $9.1 million of the amount the company owes to Hercules Technology Growth Capital, Inc. under the Loan and Security Agreement, dated as of August 5, 2011, as amended to date between the company and Hercules. Under the terms of the LSA, Hercules had a security interest in the amounts repaid to it by the company. The company continues to be obligated to repay the remaining outstanding balance under the LSA of approximately $4.5 million. The repayment caused the company’s cash balance subject to a perfected lien in favor of Hercules to fall below the $10 million required by the LSA; however, Hercules and the company amended the LSA to reduce the required cash balance requirement to $900,000.

On January 4, 2013, Steven H. Nelson, an independent member of the board of directors NeurogesX, Inc. informed the company that he resigned as a member of the board effective January 4, 2013 due to his responsibilities as Chief Executive Officer of UnitedHealthcare Community and State, an operating division of UnitedHeath Group. Mr. Nelson served as a Class III member of the company's board since November 2010. In addition, Mr. Nelson served on the audit, the compensation and the nominating and corporate governance committees of the board.
