u-blox Holding AG proposed amendment to Articles of Association. The share capital of the Company will be increased by a maximum amount of CHF 580'994.10 by the issuance of no more than 645'549 registered shares that are to be fully paid-in and have a nominal value of CHF 0.90 each; this increase being the result of the exercise of option rights granted to the members of the boards of directors and to the employees of the Company and to its subsidiaries in accordance with one or more equity investment plans. The board of directors will determine the issue price for the new shares as well as the equity investment plan. Subscription and pre-emptive rights of shareholders are excluded for this conditional capital increase.
Wonder Technology Solutions Integrates u-blox GNSS and Cellular Technologies

u-blox announced that WTS (Wonder Technology Solutions) has launched Trax, the smallest and smartest personal tracking device for children and pets. Based on the company's GNSS smart antenna and cellular module, the tiny tracker can be located anywhere, anytime via a free Android or iPhone mobile phone app. Trax also works indoors a proprietary dead reckoning algorithm that delivers a position even when satellites are out of sight. Accurate down to 1.5 meters, the robust, water-resistant device also provides an 'augmented reality' mode that helps users locate their trackers using a Smartphone's built-in camera view. To achieve the smallest possible size, Trax takes advantage of the company's CAM-M8Q GNSS receiver module which has a built-in antenna. CAM-M8Q (Chip Antenna Module) provides both small size (9.6 x 14.0 x 1.95 mm) and multi-GNSS capability. It is based on a u-blox M8 chip and incorporates a chip antenna, SAW filter, LNA, TCXO and RTC crystal. The surface-mount module is also extremely low in height making very thin customer designs possible.

u-blox Holding AG reported consolidated earnings results for the year ended December 31, 2013. For the year, the company reported revenue of CHF 219.813 million compared to CHF 173.128 million a year ago. Operating profit was CHF 30.050 million compared to CHF 22.948 million a year ago. Profit before income tax was CHF 28.870 million compared to CHF 21.383 million a year ago. Net profit, attributable to owners of the parent was CHF 24.643 million compared to CHF 17.078 million a year ago. EBITDA was CHF 46.188 million compared to CHF 35.188 million a year ago. Net cash generated from operating activities were CHF 38.483 million compared to CHF 32.088 million a year ago.
The company provided earnings guidance for the year 2014. For the year company expects an EBIT between CHF 34 million and CHF 38 million, and revenue to be between CHF 255 million and CHF 265 million. This outlook is based on the absence of unforeseen economic adversity and exchange rates assumed at budget level (USD/CHF: 0.90; EUR/CHF: 1.23).
