Mr. Randolph C. Coley, Randy served as a Partner of Houston, Texas office of King & Spalding LLP from 1999 to 2008. Mr. Coley served as Managing Partner of the King & Spalding's Houston office from 2001 to 2005 where his practice was concentrated in the areas of corporate and securities law. He was Partner in King & Spalding LLP's Atlanta office, where he headed K&S's Corporate Practice from 1978 to 1996. He began his career at K&S in 1978. In 1996, he joined Morgan ... Mr. Coley has significant experience in the representation of special committees of boards of directors of public companies and in joint ventures, leveraged buyouts, mergers, acquisitions and general corporate matters, including advising real estate investment trusts, energy companies, financial institutions and proprietary educational institutions. He is widely recognized as an expert in the field of Corporate Governance. He twice served as Chairperson of the Advanced Securities Law Seminar. He has been an Independent Director of Gastar Exploration, Ltd. since January 13, 2010 and Trade Street Residential, Inc. since June 2012. He has been a Director of Deltic Timber Corporation since February 15, 2007. He serves as Director of Greater Houston Partnership. He served on the board of several civic and charitable organizations in Atlanta, including Goodwill Industries of Atlanta, St. Luke's Episcopal Church, The Paideia School and Exodus, Inc. He has served as a Member of the Alumni Board of the Vanderbilt Law School and serves as Director of the Memphis Chamber of Commerce. Mr. Coley served as a Member of the securities law task force of the National Association of Real Estate Investment Trusts (NAREIT) and has spoken at several NAREIT conferences. He is a frequent lecturer on the Sarbanes-Oxley Act and its ramifications. He was a member of the Order of the Coif. He was a Member of Banking Law Section of the State Bar of Georgia. Mr. Coley has a BA in 1969 from Vanderbilt University. He earned a J.D. from Vanderbilt University School of Law in 1978.
