Background*

James F. Duffy has been an Interim Chief Executive Officer of NYSE Regulation, Inc. since March 16, 2009. Mr. Duffy serves as an Executive Vice President of NYSE Regulation, Inc. Mr. Duffy has also been General Counsel of NYSE Regulation and Executive Vice President of NYSE Euronext, Inc. since January 6, 2006. He works with the Global Corporate Client Group and the Corporate and Financial Compliance Departments, advising on eligibility, compliance and other listing ... issues. He also advises various Exchange departments on special products, member-firm, intermarket and market-structure issues. He served as Deputy General Counsel and Senior Vice President of NYSE Euronext until January 2006. Mr. Duffy joined the NYSE in May 1999. For the previous ten years he served as general counsel at the American Stock Exchange. Earlier in his career he spent several years on the legal staff at GTE Corp. in Stamford, Conn., and was a corporate lawyer of Lord, Day & Lord in New York. He serves as a Member of Board of Governors at Financial Industry Regulatory Authority, Inc. Mr. Duffy holds a J.D. from New York University School of Law and a B.A. in Anthropology from Fordham University.
