Background

Mr. Paul Thompson, Tim, III serves as Chairman and Chief Executive Officer of the Darby Creek Co. Prior to founding KMF, Mr. Thompson served as a Managing Director of Donaldson, Lufkin & Jenrette Securities Corporation ("DLJ"). Since 1998, Mr. Thompson served as Chief Credit Officer of the Investment Banking Group and Chairman of the Credit Commitment Committee with responsibility for the capital commitment process for DLJ. Mr. Thompson joined Donaldson, Lufkin & Jenrette ... Securities Corporation in April 1987, to establish and run the DLJ Bridge Fund which invests in leveraged buy-outs, recapitalizations and similar transactions. Prior to founding The Darby Creek Company, Mr. Thompson served as Managing Director and Chief Executive Officer of the Kelso Mezzanine Fund ("KMF"). Prior to joining DLJ, Mr. Thompson served with The First Boston Corporation from 1982 to 1987 where he worked in the project finance group and later started the acquisition finance group that specialized in syndicating bank credit facilities to fund acquisitions. From 1975 to 1982, he worked at Manufacturers Hanover Trust Company in general corporate and energy lending in New York and London, and from 1973 to 1975 he was a trainee at Brown Brothers, Harriman & Company in the bond department. Mr. Thompson served in the Pennsylvania National Guard from 1971 to 1977. He served as the Chairman of Chrysalis Holdings LLC until September 2012 and serves as its Director. Mr. Thompson has been a Director of The Philadelphia Orchestra Association since October 2007. He served as a Director of E Z Serve Corporation since 1992. In addition to NewDay Financial, he serves on the boards of the Philadelphia Orchestra, The Independent Seaport Museum, St. Mark s School in Southborough, MA, and the Board of Overseers of the University of Pennsylvania. He was a member of National Championship winning crews as a freshman in 1968 and on the Varsity in 1972 at Wharton School of the University of Pennsylvania. Mr. Thompson received a Bachelor of Science in Economics from the Wharton School of the University of Pennsylvania.
