Ms. Kathleen M. Shay serves as a Partner at Duane Morris LLP. Ms. Shay’s areas of practice include mergers and acquisitions; venture capital; licensing and strategic alliances; corporations; partnerships; limited liability companies; business law and finance; and securities regulation. She represents a number of life science companies regarding a wide range of legal issues, including structuring transactions, debt and equity financings, licenses and other strategic relationships, ... mergers and acquisitions, and employment and compensation matters. Some of Ms. Shay’s representative works include representation of an ophthalmic drug development company in its $22 million Series C preferred stock financing. She was elected to the Order of the Coif and served as an Editor-in-Chief of the Villanova Law Review of Villanova University from 1979 to 1977. Ms. Shay is a member of the Business Law Section of the American Bar Association and Corporation, Banking, and Business Law Section of the Pennsylvania Bar Association. She represents a number of emerging businesses with respect to all aspects of their legal needs, including legal structure, shareholders agreements, private placements and venture capital documents, contracts, licenses and joint ventures, intellectual property, executive compensation and employment law, tax matters, real estate and exit strategies. Ms. Shay is a Member of the Advisory Board at Emerald Stage2 Ventures. She serves as the Director of the Philadelphia Chapter of the Association for Corporate Growth and Women Inventing Next. She is a Member of the Association for Corporate Growth and Technology Council of Eastern Pennsylvania. Ms. Shay serves as a Member of Information Technology Investment Advisory Committee of Ben Franklin Technology Partners of Southeastern Pennsylvania. She has also been a Member of Board of Trustees of the Academy of Notre Dame de Namur since 2004, held the same position previously from 1995 to 2001, and served as the Chairman from 1998 to 2001. She has also been a Member of Board of Directors of The Delaware Valley Venture Group from 1995 to 1997 and served as a Member of the Pennsylvania Biotechnology Association, BIOTECH in 2006 and 2002 to 2004 Symposium Committees. Ms. Shay has served as the Co-Chairman of Coaching Committee of MAC Alliance from 2001 to 2003; and a Member of Steering Committee of MAC Alliance in 2007, 2000-2003, 1998, and 1996. She served as a Treasurer of the Llanfair Condominium Association. Ms. Shay served as Chairperson of the Executive Committee of the Business Law Section of the Philadelphia Bar Association. She has been a Member of the Board of Director of Philadelphia Chapter of the Association of Corporate Growth since 2004; Member of Board of Directors of Women Inventing Next from 2000 to 2006; Member of Board of Consultors of the Villanova University School of Law since 1992, where she served as the Chairman since 2004 and served as a Vice Chairman from 2001 to 2004.
