Some of Ms. Shay’s representative works include representation of an ophthalmic drug development company in its $22 million Series C preferred stock financing. She was elected to the Order of the Coif and served as an Editor-in-Chief of the Villanova Law Review of Villanova University from 1979 to 1977. Ms. Shay is a member of the Business Law Section of the American Bar Association and Corporation, Banking, and Business Law Section of the Pennsylvania Bar Association. She represents a number of emerging businesses with respect to all aspects of their legal needs, including legal structure, shareholders agreements, private placements and venture capital documents, contracts, licenses and joint ventures, intellectual property, executive compensation and employment law, tax matters, real estate and exit strategies.
