Background

Mr. Mark Everett Bonham has been employed at Wilson Sonsini Goodrich & Rosati in the position of Partner. Mark, who joined Wilson Sonsini Goodrich & Rosati in 1987 and was elected a partner in 1994, divides his practice into relatively even parts among (i) formation and financing of new, technology-based businesses, (ii) ongoing representation of corporate entities in the e-commerce, software, electronics, telecommunications, life sciences and general technology industries ... and (iii) complex transactions, including public offerings on behalf of both companies and investment banks, mergers and acquisitions and strategic relationships. He counsels companies on financing, public offerings, mergers and acquisitions, equity compensation, technology licensing, public company disclosure, structuring of transactions and basic corporate and securities matters. Reared primarily in Pleasant Grove, Utah, Mark attended Brigham Young University on a full-tuition scholarship and received a bachelor's degree in economics with a minor in English. While attending Brigham Young, he worked part-time as a computer operator and programming consultant on the university's largest computer as well as serving as a research assistant in the field of econometrics. Mark then attended Harvard Law School where he focused on issues related to start-up businesses, finance and securities. There he was named one of the first recipients of the John M. Olin Fellowship in Law and Economics and served as a research assistant to Professors Kaplow and Bebchuk (antitrust and corporate control issues). He received his juris doctoris degree in 1987. Following graduation from Harvard, Mark and his family moved to California, where Mark joined Wilson Sonsini Goodrich & Rosati in the Corporate and Securities group. Mark is a former Hiring Partner and currently serves as co-chair of the firm's Knowlege Management Initiative. In addition to his Silicon Valley-based practice, Mark has participated on client teams for several Utah-based companies, including Novell, Inc., WordPerfect Corporation, Megahertz Corporation, CardioPulmonics, Inc., Sonic Innovations, Inc. and a number of smaller entities. Mark continues to be interested in the emerging technology and finance industries in Utah, and he has lectured on due diligence and disclosure issues before the Intellectual Property Section of the Utah State Bar Association. Mark is a member of the State Bar of California and the State Bar of Utah. He also serves as Trustee at Utah Technology Council since May 2007.
