Mr. Steven J. Rothschild, Steve, is one of the founding partners of Skadden, Arps's Wilmington office. Mr. Rothschild concentrates in corporate, securities and litigation matters. Recently, Mr. Rothschild played a leading role in connection with: the acquisition of BetzDearborn by Hercules Incorporated; Norfolk Southern's acquisition of the majority of the assets of Conrail; the merger of Lukens Inc. into Bethlehem Steel Corporation; First Interstate Bancorp's acquisition ... by Wells Fargo & Company; PSI's merger of equals with Cincinnati Gas & Electric and its successful defense of an unsolicited tender offer and proxy contest by IPALCO; PP&L's successful defense of an unsolicited tender offer by PECO Energy; and the sale by Hercules Incorporated of its aerospace business. In addition to providing strategic and litigation counseling in connection with transactional matters, Mr. Rothschild also advises many clients on corporate governance matters and other aspects of Delaware corporation law. Mr. Rothschild also has led Skadden, Arps litigation teams in connection with complex litigations involving the federal securities laws, state corporate law and various contractual disputes. He has served as lead trial counsel in civil actions litigated in various federal district courts and has successfully argued cases in five United States Courts of Appeals. He is a Member of Board of Trustees at University of Delaware.
