Mr. Philip Richards serves as a Partner at Freshfields Bruckhaus Deringer LLP. Mr. Richards specialises in mergers and acquisitions, governance and other corporate law for a wide range of corporate and institutional clients, and has worked particularly for insurance, banks, and fund management sectors, for utility companies, and for private equity investors. From 2001 to 2005, Mr. Richards was at Freshfields Bruckhaus Deringer’s Milan office as Managing Partners for ... the Italian offices, during which time he maintained his transactional practice, advising on a number of cross-border transactions and investments for investment banks, corporates and private equity firms. Mr. Richards was Co-Heads of the Freshfields Bruckhaus’s Financial Institutions sector group, and had advised on a number of significant transactions in this sector including the introduction of corporate capital to Lloyds of London, the merger of Scottish Widows with Lloyds TSB and of Scottish Amicable with Prudential, the demutualisation of AMP, the takeovers of Pearl Group and of Henderson Investors by AMP and of M&G by Prudential and the sale of M&G Re by Prudential to Swiss Re. In other sectors, Mr. Richards acted for Scottish Power in its takeovers of Manweb and of Southern Water, and on its demerger and flotation of Thus, for Gehe (now Celesio) AG on its takeovers of AAH and of Lloyds Chemists and on the merger, involving the adoption of a double listed company structure, of Brambles with the demerged industrial services interests of GKN. He was also for many years the lead Partner at Warburg Pincus, acting on nearly all their transactions in the United Kingdom and continental Europe. Mr. Richards acted for the Goldman Sachs, managing Whitehall funds on a number of leveraged real estate transactions, for Apax/Hicks Muse on their bid for Seat Pagine Gialle and for a number of other European and American corporate and private equity clients on a range of acquisitions in Italy. Mr. Richards serves as a Member of the Advisory Board of Englefield Capital LLP (now known as Bregal Capital LLP). Mr. Richards was educated at Lincoln College, Oxford.
