Background

Mr. Martin Lipton serves as the Chairman Emeritus of Prep For Prep. Mr. Lipton serves as a Founding Partner of Wachtell, Lipton, Rosen & Katz. Mr. Lipton specializes in advising major corporations on mergers and acquisitions and matters affecting corporate policy and strategy and has written and lectured extensively on these subjects. Mr. Lipton is a pioneer in the development of the law governing takeovers and management buyouts. In 1976 he authored the first treatise ... on these subjects. In 1979 he wrote the seminal article on the ability of a corporation to “just say no“ to a hostile takeover bid. In 1982 he invented the “poison pill“ defense to hostile takeovers that in the past 20 years has been adopted by some 2,500 corporations and which has been described by Professor Ronald J. Gilson of the Stanford University Law School as “the most important innovation in corporate law since Samuel Dodd invented the trust for John D. Rockefeller and Standard Oil in 1879.“ In 1992 Mr. Lipton co-authored, with Prof. Jay Lorsch of the Harvard Business School, the article that became a model for the corporate governance policies adopted subsequently by many major corporations. Mr. Lipton is Chairman o Board and Trustee of New York University, a Trustee of the New York University School of Law (Chairman 1988-98), a member of the Council of th); Special Counsel to the New York Stock Exchange Committee on Market Structure, Governance and Ownership (1999-2000); and Special Counsel to the New York Stock Exchange Committee on Corporate Accountability and Listing Standards (2002-2003). He was Editor-in-Chief of the New York University Law Review, 1954-55 and from 1959 to 1978 was a Lecturer/Adjunct Professor at the New York University School of Law. He serves as a Director of The Partnership for New York City, Inc. He is a member of The American Academy of Arts & Sciences. Mr. Lipton has a B.S. in Economics from the Wharton School of the University of Pennsylvania and an L.L.B. from the New York University School of Law.
