Four West Virginia stockholders concerned about the proposed sale of the International Coal Group filed a formal motion for a preliminary injunction Friday afternoon, seeking to delay the sale. The International Coal Group, based in Scott Depot, announced on May 2 that it had reached an agreement to be bought out by Arch Coal, based in St. Louis, Mo., for $3.4 billion. The stockholders - Damon Walker, Daniel Huerta, Timothy Eyster and Brian Goe - each filed individual lawsuits against ICG between May 9 and May 16. The suits are now all before Putnam County Circuit Judge Phillip Stowers. The stockholders, some of whom hold substantial interests in ICG, believe the value of their stock is undervalued in the proposed sale to Arch. They are asking for more financial information about the terms of the proposed sale. Arch is proposing to buy ICG stock for $14.60 a share. The stockholders allege ICG shares are worth more. In a legal petition, the four stockholders asked that their individual suits be considered together. Legal motions also asked the Putnam court to treat their petitions and legal actions as being filed "on behalf of all others similarly situated." The petition asks Stowers to block Arch Coal from making any financial use of ICG shares. The ICG shareholders also asked Stowers to block Arch from making any new "appointments to the ICG board of directors, to amend its bylaws, or take any such other corporate actions." The four ICG shareholders intend to file more briefs and supporting papers in the immediate future.
