Davis Polk Promotes Eight Lawyers to Counsel

Davis Polk has announced that eight lawyers have been promoted to counsel effective June 1, 2014: Margie Chan, Peter Cheng, James Elworth, Hilary Seo, Michael Steinberg, Alex Tao and Derek Walters in the Corporate Department, and Kelly Dunn in the Trusts and Estates Department. Ms. Chan is counsel in the Corporate Department, resident in Hong Kong. Her practice focuses on a wide range of New York and Hong Kong debt capital market and credit transactions. Mr. Cheng is counsel in Davis Polk’s Corporate Department, resident in Hong Kong. His practice focuses on equity capital market transactions, initial public offerings in Hong Kong, compliance with Hong Kong’s Listing Rules, mergers and acquisitions and private equity investments. Mr. Elworth is counsel in the Corporate Department, practicing in the Mergers and Acquisitions Group in New York. He has represented a wide range of corporate, banking, private equity and hedge fund clients in both public and private company M&A transactions, as well as joint ventures, spinouts and other strategic transactions. Ms. Seo is counsel in Davis Polk’s Financial Institutions Group and the Trading and Markets practice in New York. SWS Group, Inc. Appoints Sandler O'Neill + Partners, L.P. as Independent Financial Advisor and Davis Polk & Wardwell LLP as Independent Legal Advisor

SWS Group Inc. announced that its Board of Directors has formed a Special Committee, comprised of independent directors not affiliated with Hilltop Holdings Inc. or Oak Hill Capital Partners, to review Hilltop's unsolicited acquisition proposal. The members of the Special Committee are Robert A. Buchholz, Tyree B. Miller and Joel T. Williams III. The Special Committee has appointed Sandler O'Neill + Partners, L.P. as its independent financial advisor and Davis Polk & Wardwell LLP as its independent legal advisor. The Special Committee will, among other things, carefully evaluate Hilltop's unsolicited proposal and make a recommendation to the Company's Board of Directors.
