Jones Day named Michael P. Considine, Louis J. Jenull and David A. Kern as partners in the Dallas office, effective Jan. 1, 2015. The three were formerly associates. Considine, a partner in the mergers and acquisitions practice, focuses on representing public and private companies and private equity firms in M&A and other significant corporate events such as divestitures, joint venture formations, buy-outs, debt/equity restructurings, and distressed asset sales. Considine also assists clients with the day-to-day corporate governance and legal aspects of their organizations. Jenull, a partner in the tax practice, represents clients in most phases of federal income taxation with emphasis on real estate (including domestic and cross-border real estate transactions), oil and gas, and a wide range of tax credits. Kern, a partner in the Capital Markets Practice, concentrates in the areas of corporate finance, corporate governance, and securities laws in U.S. and international settings.

Jones Day has announced that Samidh Guha has joined as partner in the Firm's Securities Litigation & SEC Enforcement Practice in its New York Office. He arrives from the New York office of Akin Gump where he was a partner within that firm's Litigation Department. Mr. Guha, who brings a broad range of experience in both civil and criminal litigation to the Firm, focuses his practice on regulatory enforcement actions, corporate investigations, securities litigation, complex commercial and employment litigation, international arbitration, and bankruptcy litigation. He routinely advises hedge funds; major publicly-traded and privately-held companies across sectors, domestic and abroad; and private equity firms. Moreover, Mr. Guha has extensive experience with and knowledge of the Foreign Corrupt Practices Act (FCPA), having successfully defended senior executives of American corporations working abroad. In addition to his broad experience on the civil side, Samidh also served for several years as an Assistant United States Attorney in the Criminal Division of the U.S. Attorney s Office in the Southern District of New York.
