Company Overview

Ciba-Geigy merged with Sandoz to form Novartis in March 1996. The Specialty Chemicals division of Ciba was spun-off from the company. The formation of Novartis was executed as a tax free combination, whereby Ciba and Sandoz were absorbed by the new legal entity. The transaction was structured as a merger of equals based on an exchange of shares, providing Sandoz shareholders 55% and Ciba shareholders 45% of the shares of the new company. Ciba with 1995 sales of CHF 20.7 bio is a leading worldwide biological and chemicals group, headquartered in Basel, dedicated to satisfying needs in healthcare, agriculture and industry.
