On November 1, 2013, Dole Food Company Inc. completed the previously announced merger of DFC Merger Corp., with and into the company, whereby the company became a wholly owned subsidiary of DFC Holdings, LLC. In connection with the merger and at the effective time, each of C. Michael Carter, Elaine L. Chao, Andrew J. Conrad, David DeLorenzo, E. Rolland Dickson and Sherry Lansing resigned from the company's board of directors.

Dole Food Company, Inc. Announces $275 Million Senior Secured Notes Offering

Dole Food Company Inc. announced that it is initiating an offering, subject to market and other conditions, of $275,000,000 aggregate principal amount of its Senior Secured Notes due 2019. Dole intends to use the net proceeds from the offering to finance a portion of the consideration for the proposed merger with DFC Merger Corp., a Delaware corporation, and refinance Dole's existing amended and restated credit agreement, dated as of May 2, 2013, among Dole, Solvest Ltd., Deutsche Bank AG New York Branch, as administrative agent, and the other parties thereto. The Notes will be offered and sold to qualified institutional buyers in the United States pursuant to Rule 144A and outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended.
