Shareholders File Class lawsuit Against Young Innovations Inc., Linden LLC, Young Innovations Holdings LLC and YI Acquisition Corp

On January 11, 2013, a purported shareholder class action complaint, captioned Prime Investors Fund v. Brennan, et al., was filed in the Circuit Court for St. Louis County, Missouri against the Young Innovations Inc., each member of the company's Board of Directors, Linden LLC, Young Innovations Inc., Young Innovations Holdings LLC and YI Acquisition Corp. The complaint generally alleges that the Company's directors breached their fiduciary duties to the shareholders by agreeing to sell the Company at a price that is inadequate and by engaging in a sale process that was flawed. The complaint further alleges that Linden LLC, Young Innovations Inc., Young Innovations Holdings LLC and YI Acquisition Corp. aided and abetted such breaches of duty and that the Proxy Statement is materially misleading and/or incomplete. The complaint seeks (a) declaration that the defendants breached, or aided and abetted other defendants' breach of fiduciary duties, (b) injunctive relief enjoining the merger until corrective disclosures are made, (c) an award of compensatory damages and (d) an award for the costs of the action. The company intends to deny these allegations and to vigorously defend itself and its directors.

Linden Capital Partners Appoints Mark Sullivan as Principal

Linden LLC (Linden Capital Partners) announced the addition of Mark Sullivan as a Principal focusing on human capital initiatives. Mr. Sullivan brings over ten years of experience in executive search and talent management to Linden. His background includes roles at Korn/Ferry International and most recently Children’s Healthcare of Atlanta where he led a team of fifteen human resource and recruiting professionals that supported 8,000 employees and averaged 1,200 hires a year.
