SuperMedia Inc. Announces Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2013

SuperMedia Inc. announced unaudited consolidated earnings results for the first quarter ended March 31, 2013. For the quarter, the company reported operating revenue of $293 million against $363 million a year ago. Operating Income was $101 million against $106 million a year ago. Income before provision for income taxes was $63 million against $88 million a year ago. Net income was $40 million against $62 million a year ago. Basic and diluted earnings per common share were $2.55 against $3.97 a year ago. Net cash provided by operating activities was $51 million against $105 million a year ago. Capital expenditures were $4 million against $2 million a year ago.

SuperMedia Inc. Amends Bylaws

As previously disclosed, on March 18, 2013, SuperMedia Inc. and all of its domestic subsidiaries filed voluntary bankruptcy petitions in the United States Bankruptcy Court for the District of Delaware for reorganization under the provisions of Chapter 11 of Title 11 of the United States Code. Concurrently with the bankruptcy petitions, SuperMedia and its subsidiaries filed and requested confirmation of a Joint Prepackaged Chapter 11 Plan (as modified and supplemented, the SuperMedia Prepackaged Plan), seeking to effect the merger and related transactions contemplated by the Amended and Restated Merger Agreement, dated as of December 5, 2012, by and between SuperMedia, Dex One Corporation, Newdex Inc., and Spruce Acquisition Sub Inc. Also on March 18, 2013, Dex One and its subsidiaries filed separate voluntary bankruptcy petitions in the Bankruptcy Court, seeking approval of Dex One's separate prepackaged plan (together with the SuperMedia Prepackaged Plan, the Prepackaged Plans). On April 29, 2013, the Bankruptcy Court held a hearing and entered separate orders confirming the Prepackaged Plans. On April 30, 2013 (the Effective Date), SuperMedia and Dex One consummated the transactions contemplated by the Merger Agreement, including the amendment and restatement of SuperMedia's senior secured credit facility, the merger of Dex One with and into Newdex, with Newdex continuing as thesurviving corporation and changing its name to Dex Media Inc., the merger of SuperMedia with and into Spruce (together with the Dex Merger, the Merger), with SuperMedia surviving as a wholly owned subsidiary of Dex Media, and the amendment and restatement of the credit facilities of R.H. Donnelley Inc., Dex Media West Inc., and Dex Media East Inc., otherwise effected the transactions contemplated by the Prepackaged Plans and emerged from Chapter 11 protection. Pursuant to the Merger Agreement, on the Effective Date, the certificate of incorporation and bylaws of SuperMedia were each amended and restated in their entirety.

SuperMedia Inc. Announces Board Changes

SuperMedia Inc. announced that effective as of May 1, 2013, in connection with the Merger, each member of the board of directors of the company was removed and replaced by written consent of Dex Media, the sole shareholder of SuperMedia, and Peter J. McDonald, President of SuperMedia, Cody Wilbanks, Vice President, General Counsel and Secretary of SuperMedia, and Samuel D. Jones, Vice President, Chief Financial Officer and Secretary of SuperMedia, were appointed as the new directors of SuperMedia.
