In June 1999, Stanford Telecommunications, Inc. entered into an Agreement and Plan of Merger with Newbridge Networks Corporation and Saturn Acquisition Corp., a wholly owned subsidiary of Newbridge, whereby Stanford would be acquired by Newbridge in a cash transaction. Pursuant to the Merger Agreement, Saturn Acquisition would be merged with and into Stanford, and Stanford would become a wholly owned subsidiary of Newbridge. Stanford Telecommunications, Inc. was engaged in the design, manufacture, and marketing of digital communications products and systems to establish or enhance communications via satellites, terrestrial wireless, and cable.
