Citibank Europe plc was appointed as administrator to the Fund pursuant to an amended and restated administration agreement dated December 12, 2006, as amended and/or novated from time to time between the parties, between its affiliate, Citi Hedge Fund Services (Ireland) Limited (and as transferred from Citi Hedge Fund Services (Ireland) Limited to the Administrator pursuant to a scheme of arrangement on 1 January 2012) and the Fund under which it provides accounting, shareholder record-keeping and related administrative services to the Fund.
The directors of Maga Smaller Companies Fund Limited announced that, with effect from October 1, 2012, Centaur Fund Services Limited has been appointed, in place of Citibank Europe plc., as administrator of the fund, pursuant to an administration agreement, dated October 1, 2012, between the fund and the administrator. The administrator's address is 13-17 Dawson Street, Dublin 2, Ireland. The administrator will receive from the fund a monthly administration fee, payable in arrears at normal commercial rates. The administrator is also entitled to fees for corporate secretarial services, financial statements and audit assistance, and tax assistance. In addition, the administrator is reimbursed by Maga Smaller Companies Master Fund Limited (for out of pocket expenses. The level of fees payable to the administrator may change by agreement between the fund, the master fund and the administrator. The administration agreement provides that in the absence of bad faith, breach of the administration agreement, negligence, wilful default or fraud on its part or on the part of its directors, officers or agents, the administrator will not be liable for any loss or damage incurred by the fund or the master fund as a result of any act or omission of the administrator in the performance of its services and duties under the administration agreement and the fund and the master fund agree to indemnify the administrator against any loss suffered by the administrator in the performance of its obligations and duties under the administration agreement, save where such loss arises as a result of a material breach of the terms of the administration agreement, negligence, wilful default, bad faith, or fraud on the part of the administrator or its directors, officers or agents.
The Board of Directors of Marshall Wace Funds plc announced that with effect from March 31, 2012, Citco Fund Services (Ireland) Limited replaced Citibank Europe plc as administrator to the company and Master Fund. The Board announced that with effect from March 31, 2012, Citco Bank Nederland N.V. Dublin Branch replaced Citibank International plc as custodian to the company.
