OneBeacon U.S. Holdings, Inc. Announces Pricing Terms of Debt Offering

OneBeacon Insurance Group Ltd. announced the pricing of the offering by its wholly-owned subsidiary, OneBeacon U.S. Holdings, Inc. of $275 million aggregate principal amount of senior notes due 2022. The senior notes, which will be guaranteed by the company, will mature on November 9, 2022, will have an interest rate of 4.60% and will be issued at 99.88% of par value. The company intends to use the proceeds of the offering, along with cash on hand and cash from short-term investments, to redeem all of its outstanding 5.875% senior notes due 2013.
Ace American Insurance Co. Files Lawsuit Against OneBeacon U.S. Holdings

ACE American Insurance Co. has filed a lawsuit against OneBeacon U.S. Holdings Inc. alleging that eight ACE employees switched companies and stole trade secrets in the process. According to ACE's lawsuit, OneBeacon conspired with the employees-who all worked in ACE's surety department-to have them all resign from ACE on the same day, July 30, 2012. The lawsuit alleges the employees then created a new surety department at OneBeacon, which had previously not existed. The lawsuit alleges tortuous business interference and misappropriation and seeks an injunction enjoining OneBeacon from using ACE's confidential and proprietary business information.
