Court Approves Settlement over Columbia Banking System/West Coast Merger

The Circuit Court of the State of Oregon for Multnomah County approved Columbia Banking System's settlement regarding consolidated lawsuits naming it and West Coast Bancorp as defendants. The Circuit Court of the State of Oregon for Multnomah County on February 18 approved Columbia Banking System Inc.'s settlement regarding consolidated lawsuits naming it and West Coast Bancorp, along with the latter's directors, as defendants. The settlement, resolved and released all merger-related claims. The October 3, 2012, class-action lawsuit of Gary M. Klein versus West Coast Bancorp et al. had alleged that the then-pending merger between West Coast and Tacoma, Wash.-based Columbia Banking had been priced and processed unfairly, among other claims, and that West Coast's directors had therefore breached their fiduciary duties to the company and its shareholders. It further claimed that West Coast and Columbia Banking aided the directors in the said breaches. A second lawsuit, Leoni versus West Coast Bancorp et al., was afterward filed in the Circuit Court of the State of Oregon for Clackamas County. The two were combined in the Circuit Court of the State of Oregon for Multnomah County, and Columbia Banking, to avoid the costs of litigation, agreed to make additional disclosures in connection to the merger. A memorandum of understanding was reached between the plaintiffs and West Coast. Columbia Banking approved the form of a stipulation of settlement, which was then executed.
