Sparta Inc. announced that pursuant to the Merger Agreement, at the effective time of the Merger, the certificate of incorporation of the Company was amended and restated in its entirety in the form appended to the certificate of merger that was filed with the Secretary of State of the State of Delaware on June 3, 2008 and, as so amended, shall be the certificate of incorporation of the Surviving Corporation, until amended or restated as provided therein or by applicable law.
