Nam Cheong Dockyard Sdn Bhd, Carimin Sdn. Bhd., CTNS Marine Sdn. Bhd. and PT Bahtera Niaga Internasional Enter into Joint Venture Agreement

The Board of Directors of Nam Cheong Limited announced that the company has, via its wholly-owned subsidiary, Nam Cheong Dockyard Sdn. Bhd. entered into a joint venture agreement with PT Bahtera Niaga Internasional, Carimin Sdn. Bhd. and CTNS Marine Sdn. Bhd. to acquire Intact Fleet Sdn. Bhd., a private limited company under the laws of the Federal Territory of Malaysia (whose name is subsequently to be changed to Synergy Kenyalang Offshore Sdn. Bhd.), for the purpose of owning, operating and chartering of marine vessels to the oil and gas industry and to manage the maintenance of marine vessels and provision of offshore marine services. Simultaneous with the signing of the JVA, the JV Parties have agreed that the JV company shall purchase the vessel ‘SK Deep Sea’, which is a Multi-Purpose Support Vessel, from NCD for approximately MYR 88,000,000 on the terms and subject to conditions in the JVA. The JV Parties shall make an initial capital contribution of an aggregate sum of MYR 100,000 into the JV. As an integrated offshore player, the JV Company is strategically positioned to seize opportunities in this milieu. The Board of Directors of the JV Company shall comprise six members, two Directors nominated by BNI, two Directors nominated by NCD, one Director nominated by Carimin, and one Director nominated by CTNS. For the first term, Mr. Peter Pramana, BNI's Managing Director who has 10 years of experience in the offshore marine industry, shall be the Chairman of the Board of Directors. The Group will appoint the Chairman in the second term.
