Monterrico Metals plc at the Annual General Meeting to be held on June 28, 2013, proposed to amend Article 17 of the Articles of Association to authorise the use of laser seal on share certificates by deleting Article 17 in its entirety and replacing it with: "Every definitive certificate for shares shall be issued under the Seal (which may be affixed to it, printed on it or a representation of it be authenticated by laser seal on the certificate or in such other manner having the same effect as if issued under a seal or an official seal kept under section 40 of the Act or, in the case of shares on a branch register, an official seal for use in the relevant territory). Every such certificate shall specify the number and class of shares to which it relates and the amount paid up thereon.
