Sealed Air Corporation announced that the U.S. Federal Trade Commission and the U.S. Department of Justice granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, with respect to the proposed acquisition of Diversey Holdings, Inc. As previously announced on June 1, 2011, Sealed Air entered into a definitive agreement to acquire Diversey in a transaction valued at approximately $4.3 billion. The transaction is subject to the satisfaction of customary closing conditions, including certain foreign regulatory approvals.
