KKR Reportedly Exit In Auction To Buy IMG

Kohlberg Kravis Roberts & Co. L.P. (NYSE:KKR) has exited an auction to buy IMG Worldwide, Inc. KKR exited an auction seen fetching more than $2 billion, according to people familiar with the matter. KKR withdrew last week, leaving Silver Lake in partnership with William Morris Endeavor Entertainment, LLC, CVC Capital Partners Limited in partnership with The Chernin Group, LLC and The Carlyle Group LP (NasdaqGS:CG) in partnership with ICM Partners as the private equity-backed groups in the race, the people said. KKR was pursuing IMG alone after another buyout firm, New Mountain Capital, LLC, dropped discussions about a potential joint bid, the people said on condition of anonymity because details of the auction are confidential. Final bids for IMG, whose clients include top tennis player Novak Djokovic and supermodel Gisele Bundchen and which owns the rights to numerous sports leagues, are expected by December, the people said. Spokespeople for IMG, ICM and Silver Lake did not immediately respond to a request for comment while William Morris, KKR, CVC, New Mountain and Chernin Group declined to comment.

The bidding of IMG Worldwide, Inc. by Forstmann Little & Co. attracted a lot of bidders in its first round, reported Bloomberg citing people familiar with the matter. The people said that bids were made by Silver Lake, TPG Capital, L.P., Kohlberg Kravis Roberts & Co. L.P. (NYSE:KKR) and CVC Capital Partners Limited. Initial, non-binding expressions of interest were due September 30, 2013, and give potential buyers access to financial data on IMG Worldwide, which could fetch more than $2 billion, said the people, who asked not to be named because the talks are private. Silver Lake is teaming up with William Morris Endeavor Entertainment, LLC, while TPG is joining with Creative Artists Agency, LLC, said the people. CVC Capital, KKR and other private equity firms have also bid, one person said. In crafting their offers, Silver Lake and TPG can consider potential cost savings from combining the talent agencies they already own with New York-based IMG, one of the people said. More than 20 bids were entered, according to one of the people. Forstmann Little hired Morgan Stanley and Evercore Partners Inc. in May 2013, as advisors for a possible sale, people with knowledge of the matter said at the time. Owen Blicksilver, an outside spokesman for TPG, declined comment, as did Allison Gunther, an outside spokeswoman for CVC Capital. Gemma Hart, an outside spokeswoman for Silver Lake, Kathleen Broderick, a Forstmann Little director, and Kristi Huller from KKR didn’t immediately return e-mails and calls seeking comment.

IMG is expected to fetch more than $2 billion, some of the people said. Creative Artists Agency and TPG are working with LionTree Advisors and UBS to acquire IMG, people familiar told. The Carlyle Group LP (NasdaqGS:CG), CVC Capital Partners Limited and William Morris Endeavor Entertainment, LLC are also said to be looking to bid for IMG. Forstmann Little & Co. has asked for initial bids by mid-September.
