KBS Real Estate Investment Trust III, Inc. announced that at the AGM of the company held on July 8, 2014, the company approved amendments to the company's charter: As currently written, the Company's charter would allow it, upon listing the Company's shares on a national securities exchange, to issue options and warrants to purchase the Company's common stock to the Company's external advisor, KBS Capital Advisors LLC (the Advisor"), any of the Company's directors, any of the Company's sponsors or any affiliate thereof on terms different from the terms on which such options or warrants are sold to the general public. Charter Amendment Proposal 1" would prevent the Company, under any circumstances, from issuing options and warrants to purchase the Company's common stock to the Advisor, any of the Company's directors, any of the Company's sponsors or any affiliate thereof on terms different from the terms on which such options or warrants are sold to the general public; Charter Amendment Proposal 2" would remove the Company's ability to redeem securities held by a stockholder if such stockholder initiates a tender offer for the Company's securities without complying with certain procedures required by the Company's charter.

On May 9, 2014, KBS Real Estate Investment Trust III, Inc. through an indirect wholly owned subsidiary, entered into a purchase and sale agreement to acquire an office property consisting of two office buildings containing an aggregate of 333,284 rentable square feet located on approximately 7.3 acres of land in Phoenix, Arizona (Anchor Centre). The contractual purchase price of Anchor Centre is $85.1 million plus closing costs.
