In November 1996, Pacific International Services Corp. (PISC), its South Seas Motors, Inc. subsidiary, which represented substantially all of the assets of PISC, and Alan Robin, President and Chairman of South Seas and PISC, entered into an agreement pursuant to which PISC and South Seas were required to surrender to Chrysler Financial Corporation all its collateral under secured lines of credit in lieu of foreclosure. This collateral constituted substantially all of the assets of South Seas. As a result, South Seas and PISC each ceased doing business as a going concern. Pacific International Services Corp., through South Seas, operated two automobile dealerships, as of June 30, 1996.
