Spring Real Estate Investment Trust Enters into Five Year Floating Rate Secured Term Loan Facility and New Uncommitted Revolving Facility

The board of directors of Spring Asset Management Limited, as manager of Spring Real Estate Investment Trust announced that on December 19, 2014, through its special purpose vehicle, namely RCA01, accepted and agreed to a form of legally binding commitment letter issued by Australia and New Zealand Banking Group Limited, Deutsche Bank AG, London Branch and Credit Suisse AG, Singapore Branch (collectively, the mandated lead arrangers, underwriters and bookrunners 'MLAUB') in connection with a five year floating rate secured term loan facility of $480 million ('New Secured Term Loan') and a new uncommitted revolving facility of $20 million ('Revolving Facility') (together, the 'New Term Loan Facilities'). The funds available under the new term loan Facilities are intended to be used for the early repayment of the existing secured term loan facility in the amount of $465 million which shall mature on January 27, 2016 (with an option to extend for a further period of one year thereafter) (the 'Existing Term Loan Facility'), financing the fees and expenses incurred and to be incurred by the Borrower in connection with the new term loan facilities, and/or its general working capital requirements.

Spring Real Estate Investment Trust Declares Interim Distribution and Final Distribution Payable on September 30, 2014

Spring Real Estate Investment Trust has resolved to declare an interim distribution to unit holders for the reporting period (2014 Interim Distribution) of HK 13.9 cents per unit and a final distribution for the relevant period (2013 Final Distribution) of HK 1.6 cents per unit, amounting to a total regular distribution (First Regular Distribution) of HK 15.5 cents per unit. This represents a 100% distribution of Spring REIT's total amount available for distribution for the Relevant Period and Reporting Period. The First Regular Distribution, however, is subject to adjustment upon further issuance of new Units between 1 July 2014 and 12 September 2014 (the record date), if any. The 2013 final distribution together with the 2014 interim distribution, which in aggregate form the first regular distribution, are expected to be payable on 30 September 2014 to unit holders whose names appear on the register of unit holders on 12 September 2014.
