Motorola, Inc. offers technologies, products, and services for mobile communications worldwide. It operates in three segments: Mobile Devices, Home and Networks Mobility, and Enterprise Mobility Solutions. The Mobile Devices segment designs, manufactures, sells, and services wireless handsets with integrated software and accessory products, as well as licenses intellectual property. The Home and Networks Mobility segment designs, manufactures, sells, installs, and services digital video, Internet Protocol video, and broadcast network interactive set-tops; end-to-end video delivery solutions, broadband access infrastructure systems, and associated data and voice customer premise equipment to cable television and telecom service providers; and wireless access systems, including cellular infrastructure systems and wireless broadband systems to wireless service providers. It also provides end-to-end cellular networks, including radio base stations, base station controllers, associated software and services, application platforms, and third-party switching for CDMA, GSM, iDEN, and UMTS technologies; and a portfolio of WiMAX products to create mobile IP broadband access. The Enterprise Mobility Solutions segment designs, manufactures, sells, installs, and services analog and digital two-way radio, voice, and data communication products and systems for private networks, wireless broadband systems, and end-to-end enterprise mobility solutions to a range of enterprise markets, including government and public safety agencies, as well as retail, energy, utility, transportation, manufacturing, healthcare, and other commercial customers. Motorola, Inc. markets its products and services through direct sales, distributors, dealers, retailers, and licensees. The company was founded in 1928 and is based in Schaumburg, Illinois.

World Expo 2010 Shanghai China Selects Motorola Inc. to Provide Indoor TD-LTE Broadband Coverage

Motorola Inc.'s Home & Networks Mobility business announced that Motorola has been selected by China Mobile Communications Corporation (CMCC) as the primary TD-LTE solution partner to provide indoor coverage for all major pavilions at the World Expo 2010 Shanghai China, and will also integrate and launch the world's first TD-LTE USB dongle that supports both 2.3GHz and 2.6GHz, helping operators to build a healthy TD-LTE ecosystem. After months of rigorous evaluation, Motorola was selected for its superiority in TD-LTE in areas such as enhanced spectrum efficiency and higher download throughput. During the tests, Motorola also showcased a peak throughput of 112 megabits per second (Mbps), being the only vendor able to achieve theoretical maximum performance in 20MHz TD-LTE. At the World Expo 2010 Motorola will deploy an LTE network to provide indoor coverage in all CMCC selected pavilions. Motorola's LTE network will serve as the primary source of broadband connectivity in those locations, as well as providing backup networks for other vendors' TD-LTE systems. Motorola will provide an end-to-end TD-LTE solution that includes its award-winning evolved packet core (EPC including MME and GW) and radio access network (RAN), user equipment (UE) and leverage its real-life experience of commercial Orthogonal Frequency Division Multiplexing (OFDM) networks with professional services to deploy, maintain and optimize these leading-edge networks.

Motorola Inc. Approves Amendment to its Amended and Restated Bylaws

On November 11, 2009, the Board of Directors of Motorola Inc. approved an amendment to its amended and restated bylaws. The amendment permits a special meeting of stockholders to be requested by one or more stockholders of the company holding shares representing in the aggregate not less than 20% of the total number of votes entitled to be cast on a matter or matters to be brought before the proposed special meeting, as provided in Section 3, Article III of the Bylaws, requires enhanced stockholder disclosure in the advance notice provisions relating to stockholder nominations of directors and stockholder proposals for other business, as provided in Section 13, Article III of the Bylaws, and includes other related, ancillary changes.

On November 10, 2009, the Compensation & Leadership Committee of the Board of Directors of Motorola Inc. approved the following compensation adjustments in connection with Mr. Edward J. Fitzpatrick's appointment to Senior Vice President and Chief Financial Officer on October 29, 2009 and Mr. John K. Wozniak's appointment to Corporate Vice President and Chief Accounting Officer on November 3, 2009. From January 2009 to October 2009, Mr. Fitzpatrick also served as Senior Vice President and Corporate Controller.
