Tai Ping Carpets International Ltd. proposed to its upcoming annual general meeting going to be held on May 24, 2013 to consider amendments to the bye-laws of the company to deleting Bye-law 190(iii) in its entirety and replacing the same with the following new Bye-law 190(iii) and by deleting the words "and further provided that no Director holding office as executive chairman or as a managing director shall be subject to retirement by rotation or taken into account in determining the number of Directors to retire" from paragraph (A)(1) of Bye-law 190(vii).

Operating profit was HKD 178,952,000 against operating loss of HKD 226,529,000 for the same period last year. Profit before income tax was HKD 174,487,000 against loss before income tax of HKD 205,128,000 for the same period last year. Profit for the year was HKD 142,577,000 against loss for the year of HKD 175,467,000 for the same period last year. Profit attributable to owners of the company was HKD 132,775,000 or 62.57 cents earnings per diluted and basic share against loss attributable to the owners of the company of HKD 178,143,000 or 83.96 loss per share for the same period last year. The Directors recommend a final dividend of 12 cents per share (2011: 9 cents), totaling HKD 25,462,000 (2011: HKD 9,097,000) for the year ended December 31, 2012. Subject to the approval of shareholders at the forthcoming annual general meeting of the Company, the final dividend will be paid to shareholders whose names appear on the register of members of the Company at the close of business on 3 June 203.
