Aqua Bounty Technologies, Inc. reported consolidated preliminary financial results for the year ended December 31, 2012. For the period, the company reported operating loss of $4,405,587 compared with $5,415,896 for the same period last year. Net loss was $4,414,613 or $0.05 basic and diluted per share compared with $2,709,595 or $0.04 basic and diluted per share for the same period last year. Net cash used in operating activities was $3,715,455 compared with $4,950,747 for the same period last year. Purchases of equipment were $52,841 compared with $68,615 for the same period last year.

Intrexon Corporation and Aqua Bounty Technologies, Inc. announced the formation of an exclusive channel collaboration (ECC) to enhance productivity in aquaculture and develop products that decrease the time to market and address growing environmental issues. As part of the ECC, Intrexon has proposed investing up to $6 million in AquaBounty to fund its operations and research. The investment is subject to shareholder approvals including the waiver of pre-emptive rights. Under terms of the agreements AquaBounty will utilize Intrexon's UltraVector(R) platform and other technologies to research, develop, manufacture and market products involving key synthetic biology tools to improve the value of finfish intended for human consumption; AquaBounty will pay Intrexon quarterly 16.66% of the gross profits calculated for each collaboration product and pay 50% of quarterly revenue obtained from a sublicensor in the event of a sublicensing agreement; and AquaBounty will reimburse Intrexon for the costs, on a full time equivalent basis, of certain services provided under the aquaculture program.

The Company has agreed, at its Board meeting on 14 February 2013, to the appointment of Thomas Barton, Dr. Thomas Kasser and James Turk Jr as Non-Executive Directors of the company with immediate effect. Thomas Ullman Barton is Co-Founder of White Rock Capital Texas, Inc. and currently serves as the Managing Partner of White Rock Capital Management, L.P. He is also a partner in TUB Energy, LP, 6620 North Eagle Ridge, LLC and 12051 W. Fort Lowell, LLP, LTB Partners Ltd. and WRC Entertainment and White Rock Capital Partners III, LP. Dr. Thomas Richard Kasse is Senior Vice President of Intrexon, and is President of its Agricultural Biotechnology and Animal Science Divisions. He was most recently President and CEO of Angionics, Inc. James Clinton Turk Jr has been a partner in the firm Harrison & Turk, P.C. since 1987. He currently serves as a member of the board of directors for the SunTrust Bank, New River Valley Region; Synchrony, Inc. and the Roanoke College President's Advisory Board.
