Alliance Data Systems Corporation provides marketing and loyalty solutions in the United States, Canada, and other countries. The company facilitates and manages interactions between its clients and their customers through various consumer marketing channels, including in-store, online, catalog, mail, telephone, email, mobile, and social media. It operates through three segments: LoyaltyOne, Epsilon, and Private Label Services and Credit. The LoyaltyOne segment owns and operates the AIR MILES Reward Program, a coalition loyalty program. This segment also offers loyalty services, such as loyalty consulting, customer analytics, and creative services. The Epsilon segment provides integrated direct marketing solutions that leverage transactional data to help clients acquire and build relationships with its customers. Its services include strategic consulting, customer database technologies, permission-based email marketing, loyalty management, proprietary data, predictive modeling, and direct and digital agency services. This segment’s marketing services comprise agency, database design and management, data, analytical, and traditional and digital communications. The Private Label Services and Credit segment offers credit card processing, billing and payment processing, customer care, and collections services for private label retailers, as well as private label retail credit card and loan receivables financing, including securitization of the credit card receivables that it underwrites from its private label retail credit card programs. This segment also provides marketing services, including designing and implementing strategies that assist its clients in acquiring, retaining, and managing repeat customers. It serves financial services, specialty retail, grocery and drugstore chains, petroleum retail, automotive, hospitality and travel, telecommunications, and pharmaceutical markets. The company was founded in 1996 and is headquartered in Plano, Texas.

Alliance Data Signs Agreement with BJ's Wholesale Club for MasterCard Branded Credit Card Program

Alliance Data Systems Corporation announced its Retail Services business, which manages more than 130 private label and co-brand credit programs, has signed a new long-term agreement to provide co-brand credit card services for BJ's Wholesale Club. The BJ's credit program will convert to MasterCard, a technology company in the global payments industry. Founded in 1984 and headquartered in Westborough, Mass., BJ's operates 202 membership club locations in 15 states in the eastern U.S., and offers an expansive collection of high quality, name brand products for home and business, including groceries, household products, and electronics. Alliance Data will launch a marketing and insights-driven co-brand credit card program customized for BJ's this fall. Alliance Data plans to purchase BJ's existing portfolio of co-brand credit card accounts, enabling a smooth transition to current BJ's cardholders. The portfolio size will make it one of Alliance Data's largest. Details of the purchase price were not disclosed, other than to note it is well within norms of the industry. Alliance Data believes that the performance of the acquired portfolio will be consistent with its overall co-brand credit card portfolio, and all new co-brand credit card accounts will be consistent with Alliance Data's credit quality standards. The BJ's card portfolio will transition to MasterCard and can be used anywhere MasterCard is accepted across the globe. In the spring of 2015, the entire BJ's credit portfolio will be converted to chip-enabled MasterCard credit cards.

Alliance Data Systems Corporation Proposes to Sell $600 Million Aggregate Principal Amount of its 5.375% Senior Notes Due 2022

On July 24, 2014, Alliance Data Systems Corporation, as the issuer, and certain of its subsidiaries, as guarantors, entered into a purchase agreement with Wells Fargo Securities, LLC, as the representative of the initial purchasers named in the Purchase Agreement under which it agreed to sell $600 million aggregate principal amount of its 5.375% senior notes due 2022 to the Initial Purchasers. The Notes will be general unsecured senior obligations of the company, will be guaranteed on a senior unsecured basis by certain subsidiaries of the company and will pay interest semi-annually. The offering of the Notes is expected to close on July 29, 2014, subject to customary closing conditions. The company intends to use the net proceeds of the offering to repay a portion of the outstanding indebtedness under its revolving credit facility. The Notes will be offered and sold only to qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended, and to certain non-U.S. persons in offshore transactions in accordance with Regulation S under the Securities Act. The Notes have not been, and will not be, registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
