B456 Systems, Inc. announced that it is forming a new division called A123 Venture Technologies with the purpose of establishing strategic partnerships around game changing energy storage initiatives. A123 Venture Technologies will assist its strategic partners needing infrastructure to mature and commercialize their technologies by providing access to A123's world-class test and development laboratories located in Waltham and Hopkinton, Massachusetts and Romulus, Michigan. This new business model provides strategic partners with extraordinary access to early phase technology development assets as well as long term manufacturing scale up and market channels, shortening the path to commercialization. The launch of A123 Venture Technologies is a positive step by A123 Systems, LLC towards a lasting commitment of engagement and collaboration with the broader energy storage community of innovators; a commitment with the ultimate goal to accelerate the next generation alternatives to market by leveraging investments made by A123 over the prior decade.

On April 2, 2013, B456 Systems, Inc. dismissed its independent registered public accounting firm, Deloitte & Touche LLP. The company’s decision to dismiss the former Accountant was approved by its board of directors on April 2, 2013. On April 2, 2013, the board of directors of the company approved the appointment of Moody, Famiglietti & Andronico, LLP, independent registered accountants, as its independent accountant following the dismissal of the former accountant.

On March 22, 2013, A123 Systems, Inc. filed a Certificate of Amendment to the company’s Restated Certificate of Incorporation, as amended to change its name from A123 Systems, Inc. to B456 Systems, Inc.  The Amendment was adopted in accordance with Section 303 of the General Corporation Law of the State of Delaware and under an order by the Bankruptcy Court in connection with the company’s proceeding under Chapter 11 of the Bankruptcy Code.  The company filed the Amendment with the Secretary of State of the State of Delaware, and the Amendment became effective on March 22, 2013. The change of corporate name was effected to satisfy one of the company’s obligations under the previously disclosed Asset Purchase Agreement dated as of December 11, 2012 by and among the company, certain of its subsidiaries and Wanxiang America Corporation.
