Barnes Group Inc. operates as an industrial and aerospace manufacturer and service provider serving a range of end markets and customers worldwide. The company operates in two segments, Industrial and Aerospace. The Industrial segment offers precision parts, products, and systems for applications serving various customers in end-markets, such as transportation, industrial equipment, consumer products, packaging, electronics, medical devices, and energy, as well as personal care/health care industries. This segment also manufactures and supplies precision mechanical products, including precision mechanical springs and nitrogen gas products; high-precision punched and fine-blanked components, nitrogen gas springs and manifold systems, and retention rings; and high precision molds, valve gate hot runner systems, and system solutions. The Aerospace segment produces precision-machined and fabricated components and assemblies for original equipment manufacturer turbine engine, airframe, and industrial gas turbine builders, as well as for the military. It also offers jet engine component overhaul and repair services for turbine engine manufacturers, commercial airlines, and the military. In addition, this segment manufactures aerospace aftermarket spare parts, as well as provides repair services for aircraft engine components. The company sells its products primarily through its direct sales force and global distribution channels. Barnes Group Inc. was founded in 1857 and is headquartered in Bristol, Connecticut.

Barnes Group Inc. Reports Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended June 30, 2014; Revised Earnings Guidance for 2014

Barnes Group Inc. reported unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. For the quarter, net sales were $322.1 million, up 20% from $267.4 million in the second quarter of 2013, driven by the sales contribution from the recently acquired Männer business and organic sales growth of 6%. Operating income was $45.4 million against $36.1 million last year. Income from continuing operations before income taxes was $41.8 million against $32.4 million last year. Income from continuing operations was $30.2 million or $0.54 per diluted share against $9.2 million or $0.17 per diluted share last year. Net income was $30.2 million or $0.54 per diluted share against $209.3 million or $3.82 per diluted share last year. Non-GAAP operating income was $49.6 million against $36.1 million last year. Non-GAAP diluted income from continuing operations per share as adjusted was $0.59 against $0.47 last year. Second quarter 2014 adjusted diluted earnings from continuing operations exclude the impact of Männer short-term purchase accounting adjustments of $1.9 million pre-tax, or $0.02 per diluted share, and costs related to the close of production operations at Associated Spring's Saline, Michigan facility which were $2.3 million pre-tax, or $0.03 per diluted share. For the six months, net sales were $634.2 million against $530.9 million last year. Operating income was $80.5 million against $61.1 million last year. Income from continuing operations before income taxes was $73.4 million against $52.0 million last year. Income from continuing operations was $53 million or $0.95 per diluted share against $24.6 million or $0.45 per diluted share last year. Net income was $53 million or $0.95 per diluted share against $222.8 million or $4.04 per diluted share last year. Net cash provided by operating activities was $64.9 million against $65.5 million last year. Capital expenditures were $25.8 million against $20.4 million last year. Non-GAAP operating income was $92.3 million against $71.6 million last year. Non-GAAP diluted income from continuing operations per share as adjusted was $1.10 against $0.87 last year. Barnes Group now expects 2014 total revenue to grow 15% to 17%, 5% to 7% on an organic basis, and forecasts adjusted operating margins in the range of 15.0% to 15.5%. The company increased GAAP earnings from continuing operations expectation in the range of $2.03 per diluted share to $2.13 per diluted share. Excluding Männer short-term purchase accounting adjustments and the Saline closure costs, adjusted diluted earnings per share from continuing operations are anticipated to be in the range of $2.23 to $2.33, up 22% to 27% from 2013's adjusted diluted earnings per share of $1.83. Further, the company continues to expect capital expenditures of approximately $60 million and cash conversion to be approximately 100% of net income.
