Brookdale Senior Living Inc. owns and operates senior living communities in the United States. It operates in six segments: Retirement Centers, Assisted Living, Continuing Care Retirement Communities (CCRCs)–Rental, CCRCs–Entry Fee, Brookdale Ancillary Services, and Management Services. The Retirement Centers segment owns or leases communities comprising independent living and assisted living units in a single community that are primarily designed for middle to upper income senior citizens. The Assisted Living segment owns or leases communities consisting of freestanding, multi-story communities, and freestanding single story communities, which offer housing and 24-hour assistance with activities of daily life to mid-acuity frail and elderly residents. This segment also operates memory care communities for residents with Alzheimer's disease and other dementias. The CCRCs-Rental segment owns or leases communities that offer various living arrangements and services to accommodate various levels of physical ability and health. The CCRCs-Entry Fee segment allows residents in the independent living apartment units to pay a one-time upfront entrance fee to use certain amenities and services. The Brookdale Ancillary Services segment provides outpatient therapy, home health, and hospice services to residents of its communities, as well as to other senior living communities. The Management Services segment operates communities under the management agreements. As of December 31, 2013, it operated 76 retirement center communities with 14,549 units; 438 assisted living communities with 22,176 units; 26 rental CCRC communities with 6,504 units; 14 entry fee CCRC communities with 5,873 units; and 95 communities with 17,422 units for third parties. Brookdale Senior Living Inc. is based in Brentwood, Tennessee.

Brookdale Senior Living Inc. Reports Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended June 30, 2014; Provides Provides Preliminary 2015 CFFO Guidance

Brookdale Senior Living Inc. reported unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. For the quarter, the company reported total revenue of $748.393 million compared to $716.468 million a year ago. Income from operations was $30.657 million compared to $28.435 million a year ago. Loss before income taxes was of $2.333 million compared to $4.036 million, a year ago. Net loss was $3.295 million or $0.03 per basic and diluted share compared to $5.2 million or $0.04 per basic and diluted share a year ago. Adjusted EBITDA was $117.328 million compared to $113.812 million a year ago. Net cash provided by operating activities was $91.518 million compared to $80.343 million a year ago. Adjusted EBITDA, excluding integration, transaction-related and EMR roll-out costs in 2014 and 2013, was $129.3 million, an increase of $11.8 million, or 10.1%, over the second quarter of 2013. CFFO was $76.7 million in the second quarter of 2014, or $0.61 per share. Excluding integration, transaction-related and EMR roll-out costs for both periods, CFFO was $88.6 million for the second quarter of 2014, an increase of $13.8 million, or 18.5%, compared with the second quarter of 2013. Spending on routine CapEx, which it reflect in its CFFO calculation, was $11.8 million. For six months, the company reported total revenue of $1,495.668 million compared to $1,428.734 million a year ago. Income from operations was $62.805 million compared to $67.122 million a year ago. Loss before income taxes was $3.626 million compared income before income taxes of $0.670 million a year ago. Net loss was $5.594 million or $0.04 per basic and diluted share compared to $1.642 million or $0.01 per basic and diluted share a year ago. Net cash provided by operating activities was of $144.214 million compared to $144.828 million a year ago. Additions to property, plant, and equipment and leasehold intangibles, net of $133.429 million compared to $100.291 million a year ago. Adjusted EBITDA was $225.359 million compared to 224.127 million a year ago. Adjusted EBITDA, excluding integration, transaction-related and EMR roll-out costs in 2014 and 2013, was $249.1 million, an increase of $19.2 million, or 8.4%, over the first half of 2013. CFFO, excluding integration, transaction-related and EMR roll-out costs for both periods, was $167.8 million for the six months ended June 30, 2014, an increase of $23.1 million, or 16.0%, compared with the same period in 2013. This translated to $1.35 per share in the first six months of 2014, which is an increase of $0.17 per share, or 14.4%, from a year ago. The company provided preliminary guidance for 2015 cash from facility operations in a range of $2.95 to $3.10 per share. This guidance includes the impact of the Emeritus merger and HCP transactions, but excludes integration, transaction-related and EMR roll-out costs and the impact of possible future acquisitions or dispositions.

Brookdale Senior Living Inc. announced that on July 31, 2014, Kristin A. Ferge, previously Brookdale's Executive Vice President and Treasurer, was named Brookdale's Executive Vice President, Chief Accounting Officer and Treasurer and assumed the responsibilities of principal accounting officer from Mark W. Ohlendorf, who will continue serving as Brookdale's President and Chief Financial Officer and will retain the responsibilities of principal financial officer.
