Basic Energy Services, Inc. provides well site services to oil and natural gas drilling and producing companies in the United States. Its Completion and Remedial Services segment provides pumping services, such as cementing, acidizing, fracturing, nitrogen, and pressure testing; rental and fishing tools; coiled tubing; snubbing services; thru-tubing; cased-hole wireline services; and underbalanced drilling in low pressure and fluid sensitive reservoirs. This segment operates 232 pressure pumping units; and 41 air compressor packages, including 37 snubbing units, 14 coiled tubing units, and 12 wireline units. The company’s Fluid Services segment is involved in the transportation of fluids; the production of salt water; the sale and transportation of fresh and brine water; the rental of portable frac and test tanks; the recycling and treatment of wastewater; the operation of brine source wells and non-hazardous wastewater disposal wells; and the preparation, construction, and maintenance of access roads, drilling locations, and production facilities. As of December 31, 2013, this segment owned and operated 1,003 fluid service trucks with an average fluid hauling capacity of up to 150 barrels apiece. Its Well Servicing segment provides services performed with a mobile well servicing rig and ancillary equipment, such as maintenance work, hoisting tools and equipment required by the operation, and plugging and abandonment services, as well as manufactures and sells workover rigs. As of December 31, 2013, this segment operated a fleet of 425 well servicing. Its Contract Drilling segment employs drilling rigs and related equipment to penetrate the earth to a desired depth and initiate production. This segment owns and operates 12 land drilling rigs. The company was formerly known as Sierra Well Service, Inc. and changed its name to Basic Energy Services, Inc. in 2000. Basic Energy Services, Inc. was founded in 1992 and is headquartered in Fort Worth, Texas.

Basic Energy Services, Inc. reported operating results for the month of November 2014. Basic's well servicing rig count remained unchanged at 421. Well servicing rig hours for the month were 62,300 producing a rig utilization rate of 67%, compared to 73% and 61% in October 2014 and November 2013, respectively. During the month, Basic's fluid service truck count increased by two to 1,042. Fluid service truck hours for the month were 210,400 compared to 234,800 and 185,100 in October 2014 and November, 2013 respectively. Drilling rig days for the month were 298 producing a rig utilization of 83%, compared to 88% and 72% in October 2014 and November 2013, respectively.

Basic Energy Services, Inc. Enters into Amended and Restated $300.0 Million Revolving Credit Facility with Syndicate of Lenders

On November 26, 2014, Basic Energy Services, Inc. entered into an amended and restated $300.0 million revolving credit facility with a syndicate of lenders and Bank of America, N.A., as administrative agent for the lenders. The amended and restated credit agreement includes an accordion feature whereby the total credit available to basic can be increased by up to $150.0 million, subject to receiving additional lender commitments and the satisfaction of customary conditions. The obligations under the amended and restated credit agreement are guaranteed on a joint and several basis by each of basic's current subsidiaries, other than three immaterial subsidiaries, and are secured by substantially all assets of basic and the guarantors as collateral under a security agreement dated as of February 15, 2011, as ratified by a ratification and amendment of security agreement dated as of November 26, 2014. Borrowings under the amended and restated credit agreement will mature on November 26, 2019 unless basic has not refinanced its 7 3/4% senior unsecured notes due 2019 by August 15, 2018, in which event borrowings under the amended and restated credit agreement will mature on January 2, 2019. Basic has the ability at any time to prepay the amended and restated credit agreement without premium or penalty. At basic's option, advances under the amended and restated credit agreement may be comprised of alternate base rate loans, at a variable base interest rate plus a margin ranging from 1.25% to 2.25% based on Basic's consolidated leverage ratio or Eurodollar loans, at a variable base interest rate plus a margin ranging from 2.25% to 3.25% based on basic's consolidated leverage ratio. Basic will pay a commitment fee equal to 0.50% on the daily unused amount of the commitments under the amended and restated credit agreement.
