Baymount Incorp. announced that it received notification on September 11, 2012 from the TSX Venture Exchange (TSX-V) of the transfer of its listing from Tier 2 of the TSX-V to the NEX on the basis of the determination by the TSX-V that the company no longer satisfies the Continuous Listing Requirements of the TSX-V in respect of Tier 2 issuers. As noted in the TSX-V Bulletin issued on September 11, 2012, the company's tier classification has changed from Tier 2 to the NEX, its filing and service office has changed from Toronto to the NEX and accordingly, it is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

Nevada Exploration, Inc. and Baymount Incorp. have terminated the proposed transaction on NGE's Fletcher Junction Gold Project, located in the Walker Lane in western Nevada, as contemplated by a Letter of Intent announced on December 16, 2011. The proposed transaction would have constituted a "Change of Business" for BYM as defined under the rules and policies of the TSX Venture Exchange. BYM has decided to not pursue a Change of Business at this time and instead to focus its efforts on evaluating its existing assets and business activities. Because the proposed transaction constituted a Change of Business transaction, BYM required an updated, independent, technical report pursuant to National Instrument 43-101. In anticipation for closing, NGE successfully obtained and delivered to BYM an updated, independent technical report on the project.
