CBOE Holdings, Inc., through its subsidiaries, operates markets for the trading of listed, or exchange-traded, derivatives contracts. The company provides marketplaces for trading options on various market indexes; futures on the VIX Index and other products; options on the stocks of individual corporations comprising equity options; and options on other exchange-traded products that include ETP options, such as exchange-traded funds and exchange-traded notes. It owns and operates CBOE exchange, which offers trading for listed options through a single system that integrates electronic trading and traditional open outcry trading on its trading floor in Chicago; C2, an all-electronic exchange that also offers trading for listed options; and CFE, an all-electronic futures exchange, which offers futures on the VIX Index, as well as on other products. The company’s exchanges operate on its proprietary technology platform, known as CBOE Command. It has a strategic relationship with S&P Dow Jones Indices, LLC; NASDAQ; and Frank Russell Co. CBOE Holdings, Inc. was founded in 1973 and is headquartered in Chicago, Illinois.

Chicago Board Options Exchange Announces Executive Changes

CBOE Holdings Inc. announced on Aug. 26, 2014 that the Chicago Board Options Exchange has promoted Jim Enstrom, Lita Frazier, Alicia Goldberg, Jim Lubin and Andy Spiwak. Enstrom, who joined CBOE in 2009, was named as vice president and chief audit executive. He will continue to direct CBOE's internal audit programs as head of CBOE's internal audit function. Frazier was named as vice president, government relations. He will continue to lead CBOE's government relations efforts at the federal, state and local levels. He joined the company in 2006. Goldberg was appointed as vice president, statistical analysis. She will continue to direct CBOE's statistical product offerings for Trading Permit Holders and Market Data Express. She has been with CBOE for 34 years. Lubin, who is senior managing director at CBOE Futures Exchange, was appointed as vice president, CBOE. He will continue to serve as head of CFE's operations and business development efforts, a role he has held since 2011. Spiwak, who has been with CBOE for 27 years, was named as vice president, regulatory services. He will continue to lead enforcement programs for CBOE.

CBOE Holdings, Inc. Announces Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended June 30, 2014; Re-Affirms Earnings Guidance for 2014

CBOE Holdings, Inc. announced unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. For the quarter, the company reported net income allocated to common stockholders of $42.6 million, or $0.50 per diluted share, for the second quarter of 2014, compared with $45.5 million, or $0.52 per diluted share, in the second quarter of 2013. On an adjusted basis, net income allocated to common stockholders was $42.6 million, or $0.50 per diluted share, compared with $47.0 million, or $0.54 per diluted share, in the same period last year. Operating revenue for the quarter was $143.9 million, down 5% compared with $150.8 million in the second quarter of 2013. Operating income was $69.7 million against $77.2 million a year ago. Adjusted operating income was $69.7 million against $77.2 million a year ago. Adjusted net income allocated to common stockholders was $42.6 million or $0.50 per diluted share against $47.0 million or $0.54 per diluted share a year ago. For the six months period, the company reported total operating revenues of $301.8 million against $293.5 million a year ago. Net income allocated to common stockholders was $91.1 million or $1.06 per diluted share against $87.3 million or $1.00 per diluted share a year ago. Operating income was $151.7 million against $144.8 million a year ago. Adjusted operating income was $154.3 million against $149.8 million a year ago. Adjusted net income allocated to common stockholders was $92.6 million or $1.08 per diluted share against $90.8 million or $1.04 per diluted share a year ago. The company reaffirmed its financial guidance for the 2014 fiscal year for the following: capital expenditures are expected to be in the range of $47.0 million to $50.0 million; depreciation and amortization expense is expected to be in the range of $38.0 million to $40.0 million; adjusted effective tax rate for the full-year 2014 is expected to be in the range of 38.5% to 39.5%.
