Clean Diesel Technologies, Inc. manufactures and distributes light duty vehicle catalysts and heavy duty diesel emissions control systems and products to automakers, integrators, and retrofitters in the United States, Canada, Sweden, and the United Kingdom. The company operates in two divisions, Heavy Duty Diesel Systems and Catalyst. The Heavy Duty Diesel Systems division designs and manufactures verified exhaust emissions control solutions. This division’s products include diesel oxidation catalysts, diesel particulate filters, closed crankcase ventilation systems, and alternative fuel products. It also manufactures various exhaust accessories and specialty parts, including connectors, elbows, mounting brackets, clamps, exhaust stacks and guards, and intake air components; and manufactures and distributes diesel and natural gas exhaust and intake parts, as well as fenders, catalytic converter components, numerous brackets, guards, and clamps for mounting and sealing components. In addition, this division produces exhaust and intake components for racing enthusiasts; and manufactures intake and exhaust components for off-road and mining equipment, as well as for diesel and natural gas generators. This division markets its regenerating diesel particulate filters under the Purifilter, Combifilter, Purifier, Actifilter, and Cattrap brand names. The Catalyst division develops and produces catalysts to reduce emissions from gasoline, diesel, and natural gas combustion engines. This division’s products include catalysts for gasoline and diesel engines, as well as for energy applications. Clean Diesel Technologies, Inc. sells its products through a network of dealers and distributors, as well as directly to original equipment manufacturers. The company was founded in 1996 and is headquartered in Oxnard, California.

Clean Diesel Technologies Inc. Announces Appointment of Christopher J. Harris as President and CEO

Clean Diesel Technologies Inc. announced that its Board of Directors has named Christopher J. Harris as its new President and Chief Executive Officer. Concurrent with Mr. Harris' appointment, the Board of Directors discontinued the Office of the Chief Executive Officer, established on an interim basis in December 2013. Nikhil A. Mehta, a former member of the Office of the CEO, will continue as the Company's Chief Financial Officer and Pedro J. Lopez-Baldrich, also a former member of the Office of the CEO, will continue as the Company's General Counsel and Vice President of Administration. Mr. Harris has over 25 years of technical, commercial and general management experience in both privately-held and publicly-traded specialty chemicals and materials companies. Mr. Harris has served as CDTi's Chief Operating Officer and Vice President, Integrated Supply Chain and Research and Engineering since April 2012. Mr. Harris joined the Company as Chief Operations Officer in October 2010, following the business combination of CDTi and Catalytic Solutions Inc. Clean Diesel Technologies, Inc. Receives Non-Compliance Notice From NASDAQ

As previously disclosed, Derek R. Gray withdrew his candidacy for election to the board of directors of Clean Diesel Technologies, Inc. at the 2014 annual meeting of stockholders of the company held on May 21, 2014. As a result of Mr. Gray’s withdrawal, the company has received notification from NASDAQ that it is no longer in compliance with NASDAQ Listing Rule 5605(c)(2)(A), which requires that the audit committee of the company be composed of at least three members. In accordance with NASDAQ Listing Rule 5605(c)(4)(B), the company has until the earlier of its next annual meeting of stockholders or May 21, 2015 to regain compliance with Listing Rule 5605(c)(2)(A), provided the company’s next annual meeting is held on or after November 17, 2014. The company intends to identify a third person to serve on the audit committee within the permitted time frame.
