Canadian Energy Services & Technology Corp. announced that the offering of $75 million principal amount of CESTC's 7.375% senior unsecured notes due April 17, 2020 at a premium price of $1,057.50 per $1,000 principal amount of Notes has been completed.

Canadian Energy Services & Technology Corp. Proposes Private Offering of an Additional $75.0 Million of its 7.375% Senior Notes Due 2020

Canadian Energy Services &Technology Corp. announced that it has engaged Scotiabank and RBC Capital Markets, as joint book runners, to lead a syndicate of underwriters to sell an additional $75.0 million aggregate principal amount of its 7.375% senior unsecured notes on a private placement basis. The senior unsecured notes sold pursuant to the Debt Offering will be issued under the indenture dated as of April 17, 2013, as may be supplemented from time to time, pursuant to which CESTC previously issued $225 million aggregate principal amount of 7.375% senior unsecured notes due April 17, 2020, and will form a single series with such previously issued notes. The Debt Offering is expected to close on or about July 3, 2014. The net proceeds of offering is expected to be used to repay outstanding indebtedness under CESTC's senior credit facility, to fund future acquisitions and growth objectives, and for general corporate purposes. The Notes sold pursuant to the Debt Offering will be sold in Canada on a private placement basis pursuant to certain prospectus exemptions. The Notes will be sold in the United States and to, or for the account or benefit of, U.S. Persons on a private placement basis only to ‘qualified institutional buyers’ in accordance with Rule 144A under the United States Securities Act of 1933, as amended (the "Securities Act"), and in an ‘offshore transaction’ (as defined in Regulation S) only in Canada to persons other than U.S. Persons in reliance on Regulation S under the Securities Act. The offer and sale of the Notes has not been and will not be registered under the Securities Act or any state securities laws and the Notes may not be offered or sold in the United States or to, or for the account or benefit of, U.S. Persons, absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
