CERF Incorporated is engaged in the equipment rental and waste management businesses in Canada. The company is involved in the rental and sale of air, concrete, compaction, and electric equipment; hand tools, generator sets, heaters, and ladders; portable lighting and material handling, painting, plumbing and pipefitting related, pumping, and safety and survey equipment; saws and cutting tools; tanks and wagons; trailers; washing equipment; waste transfer bins; and other equipment and tools, as well as sells and services brand name manufacturers’ and suppliers’ equipment, machinery, and tools. It also provides maintenance services and repairs for manufacturers' brands and products; services and repairs customer owned equipment; and sells and merchandises various small hand tools, drill bits, sanding/grinding pads, safety supplies, and other rental related items. In addition, the company provides rental of oilfield equipment, including casing scrapers, catwalks and pipe racks, drill collars, trash and drill pipes, handling tools, flanges and spools, generators, light towers, rig matting, power swivels, storage tanks, flare and floc tanks, shale and hiwall tanks, foster tongs, valves, and wheeled office trailers. Further, it offers waste management facility services, including supply of equipment and trained personnel, waste screening and acceptance, sale and marketing of special waste, financial accounting, program development, and implementation and technical services, as well as tertiary waste transfer, residential waste collection and recycling, and environmental remediation services; and waste disposal solutions. It serves building, and oil and gas industries; industrial service sector; and commercial, industrial, and residential customers. The company was formerly known as Canadian Equipment Rental Fund Limited Partnership and changed its name to CERF Incorporated in October 2011. CERF Incorporated was founded in 2005 and is headquartered in Edmonton, Canada.

CERF Incorporated reported unaudited unaudited earnings results for the second quarter and six months ended June 30, 2014. For the quarter, net income increased to CAD 257,000 or CAD 0.02 per basic and diluted share versus a net loss of CAD 134,000 or CAD 0.01 per basic and diluted share during the prior year's quarter. Adjusted EBITDA increased 46% to CAD 2,602,000 compared to CAD 1,784,000 for the second quarter 2013. Revenue was CAD 10.01 million compared to CAD 10.07 million a year ago. Income before income taxes was CAD 379,000 compared to loss before income taxes of CAD 177,000 a year ago. Net income and comprehensive income for the period was CAD 257,000 compared to Net loss and comprehensive loss for the period of CAD 134,000 a year ago. Adjusted free cash flow was CAD 667,000 compared to adjusted free cash flow used of CAD 963,000 a year ago. For the six months, net income and comprehensive income for the period was CAD 1,746,000 or CAD 0.11 per basic and diluted share versus a net income and comprehensive income for the period of CAD 976,000 or CAD 0.08 per basic and diluted share during the prior year's quarter. Revenue was CAD 22.44 million compared to CAD 21.54 million a year ago. Income before income taxes was CAD 2,396,000 compared to income before income taxes of CAD 1,417,000 a year ago.

CERF Incorporated Announces Executive Appointments

CERF Incorporated and Winalta Inc. announced that they have entered into a definitive arm's-length agreement to combine CERF's oilfield rentals business, waste management, and construction rentals businesses with Winalta's oilfield accommodation rentals business. The combined company will operate under the name CERF and will continue to trade on the TSX Venture Exchange under the symbol "CFL". The combined company will be led by an experienced executive management team, including: Austin Fraser, Executive VP Corporate Development and Skip Kerr, Chief Operating Officer. David Hopley, Chief Financial Officer of Winalta, is expected to continue to work with the company on a transitional basis. The Board of Directors of the combined entity will consist of four members of the current and nominated CERF Board of Directors and three members of the current Winalta Board of Directors who will be nominated for election at the upcoming special meeting of holders of shares of CERF. The Board of Directors of the pro forma CERF are expected to include Bill Guinan, David Maplethorpe, Wayne Wadley and Ken Stephens from the current CERF Board of Directors, and Blair Goertzen, Brad Munro and Alf Sailer from the current Winalta Board of Directors.

CERF Incorporated Announces Second Quarter Dividend, Payable on or About July 15, 2014

The Board of Directors of CERF Incorporated announced that they have declared a cash dividend to the shareholders of CAD 0.06 per share for the second quarter of 2014. This quarterly dividend if continued, in future quarters for the remainder of the year, will amount to CAD 0.24 per share on an annualized basis. Payment will be made on or about July 15, 2014, to shareholders of record as of the close of business on June 30, 2014. The ex-dividend date will be June 26, 2014.
