Church & Dwight Co., Inc., together with its subsidiaries, develops, manufactures, and markets a range of household, personal care, and specialty products under various brand names in the United States and internationally. The company operates in three segments: Consumer Domestic, Consumer International, and Specialty Products Division (SPD). The Consumer Domestic segment offers household products, such as baking soda, carpet and cat litter deodorizers, clumping cat litters, washing soda, fabric softeners, daily shower cleaners, cleaning products, dishwashing boosters, laundry and cleaning solutions, and bathroom cleaners, as well as powder, liquid, and unit dose laundry detergents; and personal care products, which comprise toothpastes, home pregnancy and ovulation test kits, deodorants and antiperspirants, toothbrushes, shampoos, dietary supplements, depilatories, lotions, creams, waxes, oral analgesics, and nasal saline moisturizers, as well as condoms, lubricants, and vibrating products. The Consumer International segment markets and sells various personal care, over-the-counter, and household products in international markets, including Canada, France, Australia, the United Kingdom, Mexico, and Brazil. The SPD segment offers specialty chemicals, such as performance grade sodium bicarbonate, potassium carbonate, and potassium bicarbonate; animal nutrition products, including feed grade sodium bicarbonate, rumen fermentation enhancers, feed grade potassium carbonate, rumen bypass fat and lysine, omega 3 and omega 6 essential fatty acids, and natural sodium sesquicarbonate; and specialty cleaners for commercial, professional, and industrial applications. The company sells its products through supermarkets, mass merchandisers, wholesale clubs, drugstores, convenience stores, home stores, dollar and pet stores, and other specialty stores, as well as through Websites. Church & Dwight Co., Inc. was founded in 1846 and is headquartered in Ewing, New Jersey.

Church & Dwight Co. Inc. Reports Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended June 30, 2014; Provides Earning Guidance for the Third Quarter and Second Half of 2014; Reaffirms Earnings Guidance for the Full Year of 2014

Church & Dwight Co. Inc. reported unaudited consolidated earnings results for the second quarter and six months ended June 30, 2014. For the quarter, the company has reported net income of $88.8 million, or $0.65 per diluted share, compared to $86.6 million, or $0.61 per diluted share a year ago. Net sales were $808.3 million, compared to $787.6 million a year ago. Income from operations was $138.2 million against $140.5 a year ago. Income before income taxes was $135.0 million against $132.2 million a year ago. Operating income as a percentage of net sales were 17.1%, a 70 basis point decrease from the prior year second quarter, which was largely due to the marketing and trade investments behind new products. For the six months, the company's net income was $191.4 million, or $1.38 per diluted share, compared to $194.3 million, or $1.38 per diluted share a year ago. Net sales were $1,590.3 million, compared to $1,566.9 million a year ago. Income from operations was $300.2 million against $309.8 a year ago. Income before income taxes was $291.7 million against $295.4 million a year ago. Net cash from operating activities was $206.8 million against $161.0 a year ago. Capital expenditures were $17.1 million against $20.1 million a year ago. The company expects the full year effective tax rate to be approximately 34%. The company's full year outlook is now $70 million for capital expenditures. With regard to the company's 2014 outlook, the reaffirming 2014 EPS range of 7% to 9% growth, despite unprecedented price competition in the laundry category. The company continues to expect organic sales growth to be approximately 3%. Gross margin is expected to be approximately 75 base points lower than last year (the high-end of previous 50 to 75 base points outlook) due to higher trade promotions to address the price competition and to support the launch of new products. The company continues to expect operating margin expansion from rigorous control of SG&A. Record cash from operations, in excess of $525 million. The company now expects to spend approximately $70 million on CapEx for full year 2014. Cash from operations full year is expected to exceed $525 million and free cash flow to exceed $455 million. The company expects the second half of the year to drive the majority of earnings growth, as the first half included a significant increase in slotting, couponing, trade promotions, and incremental marketing support for new product launches. Specifically, the company expects the fourth quarter will be a significant contributor to full year earnings growth behind SG&A leverage and strong organic growth. This earnings outlook does not include the benefit from any potential acquisitions, which continue to aggressively pursue. The company expects third quarter earnings per share of approximately $0.80 to $0.82 compared to $0.76 per share last year. The company expects 3% organic sales growth in the third quarter of 2014 and gross margin to contract by 150 basis points.

Scott's Liquid Gold Inc. Enters into Distribution Agreement with Church & Dwight Co., Inc

On July 16, 2014, Scott's Liquid Gold-Inc through its wholly owned subsidiary, Neoteric Cosmetics Inc., entered into a new distribution agreement with Church & Dwight Co. Inc. The Company currently distributes Batiste Dry Shampoo pursuant to a distribution agreement with Church & Dwight that expires on December 31, 2014 and will continue to distribute Batiste Dry Shampoo under the terms of the existing agreement through its expiration. Following the expiration of the current distribution agreement, the New Distribution Agreement provides that the Company will be the exclusive distributor of Batiste Dry Shampoo to the specialty retailer channel in the United States, which includes primarily: beauty supply stores, such as Ulta Beauty, one of the company's customers; apparel retailers, such as Charlotte Russe and TJ Maxx; department stores; and hair salons and distributors to hair salons. Under the New Distribution Agreement, the Company will no longer sell Batiste Dry Shampoo to food, drug and mass retailers in the United States. The New Distribution Agreement has an initial term through December 31, 2016 and automatically renews for one year terms, unless terminated at the end of any such term upon 120 days prior written notice.
