Capital One Financial Corporation operates as the bank holding company for the Capital One Bank (USA), National Association (COBNA); and Capital One, National Association (CONA), which provide various financial products and services in the United States. The company operates in three segments: Credit Card, Consumer Banking, and Commercial Banking. It offers consumer and small business card lending, small business lending, closed end installment lending, and the international card lending businesses in Canada and the United Kingdom. The company also provides various non-interest bearing and interest-bearing deposits, including demand deposits, money market deposits, negotiable order of withdrawal accounts, savings accounts, certificates of deposit, and other consumer time deposits. Its loan portfolio comprises credit card loans consisting of domestic and international credit card loans, as well as installment loans; consumer loans, such as auto, home, and retail banking loans; and commercial loans, including commercial and multifamily real estate, commercial and industrial, and small-ticket commercial real estate loans. In addition, the company provides treasury management and depository services. It primarily serves consumers, small businesses, and commercial clients through the Internet and branch locations primarily in New York, New Jersey, Texas, Louisiana, Maryland, Virginia, and the District of Columbia. Capital One Financial Corporation was founded in 1993 and is headquartered in McLean, Virginia.

Capital One Financial Corporation announced that it commenced an offer to exchange any and all of its outstanding 6.750% Senior Notes due 2017 for a combination of new Senior Notes due 2023 and cash. The exchange offer is being conducted by COF upon the terms and subject to the conditions in a confidential offering circular, dated May 17, 2013, and related letter of transmittal. The New Notes have not been registered under the Securities Act of 1933, as amended, or any state securities laws. The exchange offer is subject to the condition that a minimum of $500 million aggregate principal amount of New Notes be issued in exchange for Old Notes, as well as certain other conditions, as more fully described in the Confidential Offering Circular. The amount of New Notes and cash offered in the exchange offer is described in the Confidential Offering Circular. Eligible Holders that validly tender and do not validly withdraw their Old Notes at or prior to 5:00 p.m., New York City time, on May 31, 2013, subject to any extension by COF, will receive an early exchange premium equal to $20 per $1,000 principal amount of Old Notes accepted for exchange.
