On July 28, 2014,, Inc. entered into a Sublease Agreement with Oracle America, Inc. pursuant to which the Company has agreed to lease the Fourth Floor Space. Subject to certain conditions, the sublease shall commence on the earlier of January 1, 2015 and the date the Company commences operations in the space and shall expire on February 28, 2019, after which the Fourth Floor Space will be leased by the Company pursuant to the Lease Agreement as described. The base rent for the first 12 months of the term will be $25.50 per square foot per year, or $928,073 for the first year. The base rate will increase by $1.00 per square foot per year of subleased space each subsequent 12 month period, subject to proration for any partial lease year. The total cash obligation for the base rent over the term of the Oracle Sublease Agreement is approximately $4.1 million. In addition to the base rent, the Company will be required to pay its pro rata share of any building operating expenses and real estate taxes in excess of the amounts allocable to the subleased space as of the applicable base years referenced in the Oracle Sublease Agreement. Under the Oracle Sublease Agreement, the Company is required to provide a letter of credit in the amount of $357,884.16, which is subject to reduction commencing January 1, 2017 upon the occurrence of certain conditions. Pursuant to the terms of the Oracle Sublease Agreement, except as otherwise specifically set in such agreement, the Company also is subject to the terms of the lease agreement between BP Fourth Avenue, LLC and Oracle as it relates to the subleased space.

Nathan and Reggan Koopmeiners Sue for the Death of their Infant

A lawsuit filed by Nathan and Reggan Koopmeiners in Kenosha County Circuit Court names the company,, and Sarah Gumm as defendants. Gumm is jailed in Lake County, Illinois, where she is charged with first-degree murder in the 2012 death of 3-month-old Rylan Koopmeiners. Gumm is accused of causing a head injury that resulted in the baby's death at her home in Waukegan, Illinois. The Koopmeiners allege, of Waltham, Massachusetts, failed to reveal that Gumm had a court record, including two citations for drunken driving, even though they paid for the background check. The wrongful death lawsuit alleges Gumm was under the influence of alcohol when the baby's head injury occurred. The child suffered a skull fracture and cranial hemorrhaging and died July 27, 2012, from blunt force trauma.
