Dominion Resources, Inc., together with its subsidiaries, engages in producing and transporting energy in the United States. The company operates through three segments: Dominion Virginia Power (DVP), Dominion Generation, and Dominion Energy. The DVP segment is involved in regulated electric transmission and distribution operations that serve residential, commercial, industrial, and governmental customers in Virginia and North Carolina. The Dominion Generation segment is engaged in electricity generation through coal, nuclear, gas, oil, hydro, and renewable sources; and related energy supply operations. It also comprises generation operations of the company’s merchant fleet and energy marketing, and price risk management activities for these assets, as well as non-regulated retail energy marketing operations. The Dominion Energy segment is involved in regulated natural gas distribution operations, regulated gas transmission pipeline and storage operations, natural gas gathering and by-products extraction activities, and liquefied natural gas operations. The company’s portfolio of assets includes approximately 23,600 megawatts of generating capacity; 6,400 miles of electric transmission lines; 57,000 miles of electric distribution lines; 10,900 miles of natural gas transmission, gathering, and storage pipelines; and 21,900 miles of gas distribution pipeline. It also operates underground natural gas storage systems with 947 billion cubic feet of storage capacity; and serves approximately 6 million utility and retail energy customers in 15 states. In addition, the company sells electricity at wholesale prices to rural electric cooperatives, municipalities, and into wholesale electricity markets. Dominion Resources, Inc. was founded in 1909 and is headquartered in Richmond, Virginia.

On May 30, 2014, Dominion Resources, Inc. and its wholly-owned subsidiaries, Virginia Electric and Power Company and Dominion Gas Holdings, LLC entered into a $500,000,000 five-year amended and restated revolving credit agreement with Keybank National Association, as administrative agent, U.S. Bank National Association, as syndication agent, and other lenders named therein. Keybank National Association and U.S. Bank National Association served as joint lead arrangers and joint book runners. This credit facility amends and restates, in its entirety, the $500,000,000 three-year revolving credit agreement dated as of September 24, 2010, as amended by first amendment dated as of October 1, 2011, previously entered into by Dominion and Virginia Power. The amendments add Dominion Gas as a potential borrower, extend the maturity date and amend the definition of 'Applicable Percentage'.

Maryland PSC Approves Dominion Resources, Inc.'s Cove Point Project

The state Public Service Commission granted conditional approval for Dominion Resources Inc. to build an electric generating station at its Lusby, Maryland, facility, even though regulators determined the project would not be a net benefit for Maryland residents. The PSC ordered Dominion to pay $48 million over the next two decades in connection with pollution and public safety issues and to help low-income consumers. The 130-megawatt Cove Point generating station is being built to service the proposed liquefied natural gas export and import facility.

J.P. Morgan Securities Inc., RBS Securities Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Bank PLC, and Wells Fargo Securities, LLC served as Joint Lead Arrangers and Joint Bookrunners. This credit facility amends and restates, in its entirety, the $3,000,000,000 Three-Year Revolving Credit Agreement dated as of September 24, 2010, as amended by First Amendment dated as of October 1, 2011, previously entered into by Dominion and Virginia Power. The amendments add Dominion Gas as a potential borrower, increase the amount available for borrowing under the credit facility, extend the maturity date and amend the definition of Applicable Percentage.
