The company offers test preparation courses to students taking language and entrance exams used by educational institutions in the United States, the PRC, and Commonwealth countries; and after-school tutoring courses for middle school and high school students to help students enhance scores on entrance exams for admission into high schools or higher education institutions. It also provides language training courses primarily consisting of English and other foreign languages for adults; operates full-time private primary and secondary boarding school in Yangzhou seeking a full curriculum taught in Chinese and English; develops and edits educational materials for language training and test preparation, such as books, software, CD-ROMs, magazines, and other periodicals; and provides online education programs on its Website koolearn.com. In addition, the company offers college, graduate, and career counseling advice to students; counsels students with the immigration process for overseas studies, such as obtaining visas and housing; operates kindergartens in Beijing; and offers a pilot program whereby it permits third parties in small cities to provide its English and kindergarten programs under a brand name cooperation model. It provides its educational services primarily under the New Oriental brand. As of May 31, 2013, the company offered educational programs, services, and products to students through a network of 57 schools; 669 learning centers; approximately 32 own and 5,000 third-party bookstores; and approximately 17,000 teachers in 50 cities. New Oriental Education & Technology Group Inc. was founded in 1993 and is headquartered in Beijing, China.

New Oriental Education Forms Joint Venture with Tencent Holdings

New Oriental Education & Technology Group Inc. and Tencent Holdings Limited have formed a joint venture (JV), Weixue Mingri, to provide online education services. As part of the transaction, New Oriental Education will provide content and other educational resources to the JV and Tencent would offer product development and online marketing services.

ATA Inc. Enters into an Agreement with New Oriental Education & Technology Group to Form Joint Venture

ATA Inc. announced that it has entered into an agreement with New Oriental Education & Technology Group to form a joint venture that will provide online and mobile education and training to working professionals in China. Using New Oriental's existing Koolearn.com online education website and its distribution channels, the joint venture will develop a new online education and training website, as well as mobile apps, catering to the workforce in China with an initial focus on the healthcare, accounting, and finance industries. Pursuant to the terms of the agreement, ATA will invest RMB 13.5 million, representing a 45% stake in the new joint venture company, and New Oriental will invest RMB 16.5 million for a 55% stake. The new joint venture company will have free and unlimited access to New Oriental's learning management system, courseware authoring tools, and both live and archived broadcasting platforms and technical resources, as well as free and unlimited access to ATA's student resources, learning tools, software and other technical resources. The two companies anticipate finalizing the executive management team overseeing the joint venture in the coming weeks, with the expectation of officially launching the new online education and training website by the end of 2014.

New Oriental Education & Technology Group Inc. announced unaudited consolidated earnings results for the fourth quarter and full year ended May 31, 2014. For the quarter, total net revenues increased by 20.0% year-over-year to $287.5 million from $239.6 million in the same period of the prior fiscal year. Net income attributable to the company increased by 52.2% year-over-year to $42.9 million from $28.2 million in the same period of the prior fiscal year. Non-GAAP net income attributable to the company, which excludes share-based compensation expenses, increased by 33.2% year-over-year to $46.8 million from $35.2 million in the same period of the prior fiscal year. Operating income increased by 26.3% year-over-year to $30.8 million from $24.4 million in the same period of the prior fiscal year. Non-GAAP operating income, which excludes share-based compensation expenses, increased by 10.7% year-over-year to $34.7 million from $31.4 million in the same period of the prior fiscal year. Basic and diluted net income attributable to the company per American Depositary Shares (ADS) were $0.27 and $0.27, respectively. Non-GAAP basic and diluted net income per ADS, which excludes share-based compensation expenses, were $0.30 and $0.30, respectively. Capital expenditures for the quarter were $8.9 million, which were primarily attributable to the opening of 24 new learning centers and renovations at older, existing learning centers. The company generated approximately $93.6 million operating cash flow for the quarter compared to $102.6 million in the year ago period. For the year ended period, total net revenues increased by 18.7% year-over-year to $1,138.9 million from $959.9 million. Net income attributable to New Oriental for the fiscal year increased by 58.3% year-over-year to $215.7 million from $136.3 million. Non-GAAP net income attributable to the company, which excludes share-based compensation expenses, increased by 44.2% year-over-year to $235.8 million from $163.5 million. Operating income for the fiscal year increased by 61.2% year-over-year to $197.6 million from $122.6 million. Non-GAAP operating income for the fiscal year, which excludes share-based compensation expenses, increased by 45.3% year-over-year to $217.6 million from $149.8 million. Basic and diluted net income attributable to the company per ADS for the fiscal year were $1.38 and $1.37, respectively. Non-GAAP basic and diluted earnings per ADS, which excludes share-based compensation expenses, were $1.51 and $1.49, respectively. Income from continuing operations was $215.7 million or $0.88 per diluted share compared to $136.7 million or $0.87 per diluted share a year ago. The company provided revenue guidance for the first quarter ending August 31, 2014. The company expects total net revenue in the first quarter of fiscal year 2015 to be in the range of $412 million to $427.5 million, year-over-year revenue growth be into the range of 6% to 10% from the same period last year. This lower-than-normal projected revenue growth rate reflects the anticipated impact on the company's top-line performance of margin expansion initiatives in fiscal year 2014, the transition to a new POP Kids program, changes in product mix and business seasonality, as well as certain macroeconomic factors.
