Eastern Virginia Bankshares Inc. announced that it has completed its acquisition of Virginia Company Bank as of the close of business on November 14, 2014. Following the merger of Virginia Company Bank with and into EVB, with EVB surviving, EVB has added offices in Williamsburg, Newport News and Hampton, Virginia, for a total of 24 full service branches. EVB will operate the former Virginia Company Bank branches under the name "Virginia Company Bank, a division of EVB" until completion of the core system integration in late January 2015. The company also announced that John F. Biagas has joined the Boards of Directors of the company and EVB effective upon the completion of the merger.

Eastern Virginia Bankshares, Inc. Announces Earnings Results for the Third Quarter and Nine Months Ended September 30, 2014; Reports Net Charge-Offs and Impair Losses for the Third Quarter of 2014

Eastern Virginia Bankshares Inc. announced earnings results for the third quarter and nine months ended September 30, 2014. For the quarter, the company reported net interest income of $8.963 million against $8.731 million a year ago. Income before income taxes was $1.940 million against loss before income taxes of $10.379 million a year ago. Net income available to common shareholders was $0.742 million or $0.04 per diluted share against net loss available to common shareholders of $7.022 million or $0.06 per diluted share a year ago. Return on average assets was 0.28% against negative return on average assets of 2.59% a year ago. Return on average common shareholders' equity was 3.12% against negative return on average common shareholders' equity of 31.51% a year ago. The increase in net interest income of $232,000 from the same period in 2013, principally due to a $700,000 decrease in interest expense, partially offset by decreases in interest and fees on loans and interest on investment securities. For the nine months, the company reported net interest income of $27.314 million against $24.896 million a year ago. Income before income taxes was $6.875 million against loss before income taxes of $8,177 million a year ago. Net profit available to common shareholders was $3.334 million or $0.19 per diluted share against net loss available to common shareholders of $6.021 million or $0.72 per diluted share a year ago. Return on average assets was 0.42% against negative return on average assets of 0.74% a year ago. Return on average common shareholders' equity was 4.80% against negative return on average common shareholders' equity of 9.84% a year ago. Book value per common share as on September 30, 2014 was $7.81 against $7.22 a year ago. For the third quarter, net charge-offs were $477,000 compared to $1,289,000 a year ago. Impairment losses on other real estate owned of $437,000 during the third quarter of 2013 with no such loss present in the current quarter.

Eastern Virginia Bankshares Inc. Appoints John F. Biagas as Director

On October 23, 2014, the board of directors of Eastern Virginia Bankshares Inc. elected Mr. John F. Biagas to the Board, subject to and effective upon the merger of Virginia Company Bank with and into the company's wholly-owned banking subsidiary, EVB, Tappahannock, Virginia. Mr. Biagas was elected to the Board pursuant to Section 2.01(d) of the Agreement and Plan of Reorganization dated May 29, 2014 among the company, the company and the company which provides that before the effective date of the Merger the company will take action to elect one director of VCB to serve on the Board effective upon consummation of the Merger. Mr. Biagas's initial term as a director of the Company will commence on the effective date of the Merger and run through the first annual meeting of the company's shareholders following the effective date of the Merger, and until his successor is elected and qualified. The board of directors of the company elected Mr. Biagas to the company Board, subject to and effective upon consummation of the Merger, subject to Mr. Biagas acquiring such shares of the company's common stock as necessary to satisfy minimum stock ownership requirements applicable under Virginia law. Mr. Biagas's initial term as a director of the company will commence on the effective date of the Merger and run through the first annual meeting of the company's shareholder following the effective date of the Merger, and until his successor is elected and qualified.
