Exar Corporation Announces the Release of PowerArchitect 5.1

Exar Corporation announced PowerArchitect 5.1, the latest release of its intuitive, powerful programmable power design tool. New features include support for Exar's development boards and the latest Universal PMICs, the XRP7720 and XRP7725 programmable power ICs. It also supports the new XRP9710 and XRP9711 Power Modules and adds time saving features to simplify and accelerate power system programming. PowerArchitect 5.1 adds support to communicate with Exar evaluation boards through an Arduino board. These include a command library and examples of how to use these commands. Instructions for turning the Arduino into a standalone programmer provide engineers new capabilities for prototyping, but the code quickly migrates to bed-of-nails full production test equipment. Where the Exar Configuration Module (XCM) offers a simple pass through function, the Arduino platform provides a readily available development environment that allows engineers to develop code to leverage the capabilities of Exar's programmable power products before their own hardware is available. Customers have used these capabilities in a wide range of unique applications from a fully dynamic and reconfigurable universal PMIC to power telemetry in Intel Node Manager enabled servers or remote re-configurability over a network.

Exar Corporation Introduces XR75100

Exar Corporation introduced the XR75100, a new 40V capable switching controller in its line of DC-DC power conversion products. The XR75100 Synchronous Step-Down Controller supports point-of-load (POL) supplies from industrial 24VDC and 24VAC rectified sources. The patented emulated current mode Constant On-Time (COT) control scheme provides the fast transient response of conventional COT controllers without any of the compromises. This device delivers core voltage rails for ASICs, FPGAs, DSPs and other various processors in Medical, Automotive, Instrumentation and a wide range of other industrial markets. The XR75100 with exceptional 0.008%/V line regulation across the entire input voltage range and 1% output accuracy over full temperature range provides increased headroom to engineers for easier design implementations. Exar's COT control loop enables operation with ceramic output capacitors, eliminating loop compensation and reducing overall component count for ease of system design. The XR75100 is specified with a wide input voltage range of 5V to 40V and delivers an adjustable output voltage from 0.6V to 30V. Additionally, the device offers a host of supervisory and protection features for proper sequencing, safe operation under abnormal operating conditions and light load operation. The XR75100 is available now in a RoHS compliant, green/halogen free space-saving 16-pin 3x3 QFN package and is priced from $1.59 in 1,000 piece quantities.

Exar Announces Bridge Term Loan Credit Facility for an Amount up to $90 Million

On May 27, 2014, Exar entered into a bridge credit agreement with the lenders party thereto, and Stifel Financial Corp., as Administrative Agent. The credit agreement provides Exar with a bridge term loan credit facility in an aggregate principal amount of up to $90 million. The proceeds of the bridge facility may be used to purchase the Shares in connection with the Offer and the acquisition of Integrated Memory Logic Limited (iML) and to pay related fees and expenses. Exar may draw on the bridge facility up to 3 times until the earliest to occur of the date that is 200 days following the first date on which all conditions precedent to the offer have been satisfied and the offer has been consummated in accordance with the merger agreement, the tender agreement and the other documents related to the acquisition of iML; the date on which the merger of Sub into iML is consummated pursuant to the merger agreement; and the date on which the lenders' commitments to advance funds to Exar otherwise terminates in accordance with the credit agreement. As of the date, Exar has drawn $65 million under the bridge facility. The loans made under the bridge facility mature on the earliest to occur of the date that is 30 days after the consummation of the merger; if the merger has not occurred, the date that is 210 days following the tender effective date; and the date on which the loans made pursuant to the bridge facility are declared due or otherwise become due and payable pursuant to the credit agreement. The credit agreement also requires that the loans made under the bridge facility be prepaid within 2 business days of Exar's actual receipt of unrestricted cash and cash equivalents of iML.
